Common use of Insider Status Clause in Contracts

Insider Status. The Purchaser either: Is not an Insider of the Issuer, or Is an "Insider" of the Issuer as defined in the Policies of the TSX Venture Exchange (the "Exchange"), by virtue of being: (a) a director or senior officer of the Issuer; (b) a director or senior officer of a company that is an Insider or subsidiary of the Issuer; (c) a person that beneficially owns or controls, directly or indirectly, voting shares of the Issuer carrying more than 10% of the voting rights attached to all the Issuer's outstanding voting shares; (d) the Issuer itself if it holds any of its own securities.
