INSPECTION AND AUDIT RIGHTS OF THE BUYER. For a period up to two years after the later of expiration or termination of this AGREEMENT and to the extent legally permissible and upon reasonable notice by BUYER, SELLER will permit BUYER, or a third party reasonably acceptable to the PARTIES, access to any area of SELLER’s facilities, personnel, computer systems and books and records relating to SELLER’s performance under this AGREEMENT to determine SELLER’s compliance with this AGREEMENT.
