Inspection and Audit Rights. The Master Servicer agrees that, on reasonable prior notice, it will permit and will cause each Subservicer to permit any representative of the Depositor or the Trustee during the Master Servicer's normal business hours, to examine all the books of account, records, reports and other papers of the Master Servicer relating to the Mortgage Loans, to make copies and extracts therefrom, to cause such books to be audited by independent certified public accountants selected by the Depositor or the Trustee and to discuss its affairs, finances and accounts relating to the Mortgage Loans with its officers, employees and independent public accountants (and by this provision the Master Servicer hereby authorizes said accountants to discuss with such representative such affairs, finances and accounts), all at such reasonable times and as often as may be reasonably requested. Any out-of-pocket expense incident to the exercise by the Depositor or the Trustee of any right under this Section 10.09 shall be borne by the party requesting such inspection; all other such expenses shall be borne by the Master Servicer or the related Subservicer.

Each Servicer agrees that, on 5 Business Days prior notice, it will permit any representative of the Depositor or the Trustee during such Person's normal business hours, to examine all the books of account, records, reports and other papers of such Person relating to the Mortgage Loans, to make copies and extracts therefrom, to cause such books to be audited by independent certified public accountants selected by the Depositor or the Trustee and to discuss its affairs, finances and accounts relating to the Mortgage Loans with its officers, employees and independent public accountants (and by this provision each Servicer hereby authorizes said accountants to discuss with such representative such affairs, finances and accounts), all at such reasonable times and as often as may be reasonably requested. Any out-of-pocket expense of a Servicer incident to the exercise by the Depositor or the Trustee of any right under this Section 10.09 shall be borne by such Servicer.

The Master Servicer agrees that, on reasonable prior notice, it will permit and will cause each Servicer to permit any representative of the Depositor or the Trustee during the Master Servicer’s or Servicer’s, as the case may be, normal business hours, to examine all the books of account, records, reports and other papers of the Master Servicer or the Servicer, as the case may be, relating to the Mortgage Loans, to make copies and extracts therefrom, to cause such books to be audited by independent certified public accountants selected by the Depositor or the Trustee and to discuss its affairs, finances and accounts relating to the Mortgage Loans with its officers, employees and independent public accountants (and by this provision the Master Servicer or the Servicer, as the case may be, hereby authorize said accountants to discuss with such representative such affairs, finances and accounts), all at such reasonable times and as often as may be reasonably requested. Any out-of-pocket expense incident to the exercise by the Depositor or the Trustee of any right under this Section 11.09 shall be borne by the party requesting such inspection; all other such expenses shall be borne by the Master Servicer or the related Servicer.

(b) The Trustee and the Securities Administrator shall each provide access to the records and documentation in its possession regarding the related Mortgage Loans and REO Property and the servicing thereof to the Certificateholders, the FDIC, and the supervisory agents and examiners of the FDIC, such access being afforded only upon reasonable prior written request and during normal business hours at its respective office; provided, however, that, unless otherwise required by law, neither the Trustee nor the Securities Administrator shall be required to provide access to such records and documentation if the provision thereof would violate the legal right to privacy of any Mortgagor. The Trustee and the Securities Administrator shall each allow representatives of the above entities to photocopy any of the records and documentation and shall provide equipment for that purpose at a charge that covers its actual costs.

Any out-of-pocket expense incident to the exercise by the Depositor, any Seller, the NIM Insurer or the Trustee of any right under this Section 10.09 shall be borne by the party requesting such inspection; all other such expenses shall be borne by the Master Servicer.

Any out-of-pocket expense incident to the exercise by the Contract Seller or the Trustee of any right under this Section 11.09 shall be borne by the party requesting such inspection; all other such expenses shall be borne by the Servicer.

The Servicer agrees that, on reasonable prior notice, which shall not be less than two Business Days prior written notice, it will permit any representative of the Depositor or the Trustee during the Servicer’s normal business hours, to examine all the books of account, records, reports and other papers of the Servicer relating to the Mortgage Loans, to make copies and extracts therefrom, to cause such books to be audited by independent certified public accountants selected by the Depositor or the Trustee and to discuss its affairs, finances and accounts relating to the Mortgage Loans with its officers, employees and independent public accountants (and by this provision the Servicer hereby authorizes said accountants to discuss with such representative such affairs, finances and accounts), all at such reasonable times and as often as may be reasonably requested. Any out-of-pocket expense of the Servicer incident to the exercise by the Depositor or the Trustee of any right under this Section 12.09 shall be borne by the Servicer.

The Servicer agrees that, on reasonable prior notice, it will permit any representative of the NIMs Insurer, the Depositor or the Trustee during the Servicer's normal business hours, to examine all the books of account, records, reports and other papers of the Servicer relating to the Mortgage Loans, to make copies and extracts therefrom, to cause such books to be audited by independent certified public accountants selected by the NIMs Insurer, Depositor or the Trustee and to discuss its affairs, finances and accounts relating to the Mortgage Loans with its officers, employees, agents, counsel and independent public accountants (and by this provision the Servicer hereby authorizes such accountants to discuss with such representative such affairs, finances and accounts), all at such reasonable times and as often as may be reasonably requested. Any out-of-pocket expense incident to the exercise by the NIMs Insurer, Depositor or the Trustee of any right under this Section 10.09 shall be borne by the party requesting such inspection; all other such expenses shall be borne by the Servicer.

The Servicer agrees that it will permit any representative of the Purchaser, at any time during the Servicer's normal business hours, to examine all the books of account, records, reports and other papers of the Servicer relating to the Mortgage Loans, to make copies and extracts therefrom, to cause such books to be audited by independent certified public accountants selected by the Purchaser and to discuss its affairs, finances and accounts relating to such Mortgage Loans with the officers, employees and independent public accountants of the Servicer (and by this provision the Servicer hereby authorizes said accountants to discuss with such representative such affairs, finances and accounts). Any reasonable out-of-pocket expense of a Servicer incident to the exercise by the Purchaser of any right under this Section 12.05 shall be borne by the Servicer. Nothing in this Section 12.05 shall limit the obligation of the Servicer to observe any Applicable Law prohibiting disclosure of information regarding the Mortgagors and the failure of the Servicer to provide access as provided in this Section as a result of such obligation shall not constitute a breach of this Section. Nothing in this Section 12.05 shall require the Servicer to collect, create, collate or otherwise generate any information that it does not generate in its usual course of business. The Servicer shall not be required to make copies of or to ship documents to any Person who is not a party to this Agreement, and then only if provisions have been made for the reimbursement of the costs thereof.
Inspection and Audit Rights. Seller shall inspect the Goods, including running performance tests before shipment to Buyer, to ensure Goods completely meet the requirements of the Order and any Buyer provided drawings, specifications, etc. Seller shall make such reports available to Buyer upon request. Buyer or Xxxxx’s designee shall have the right and opportunity to verify the product performance to the requirements of the Order, drawings and specifications at the Seller’s premises. Such verification shall not be used by the Seller as evidence of effective control of quality by the Seller nor shall the verification by the Buyer or Xxxxx’s designee absolve the Seller of the responsibility to provide acceptable Goods nor shall it preclude subsequent rejection of the Goods by the Buyer. Seller shall furnish, without additional charge, all reasonable facilities and assistance for the safety and convenience of Buyer or Buyer’s designee and shall in no way impair Buyer’s or Buyer’s designee’s rights in the case of nonconforming or defective goods. Seller shall maintain complete inspection records for all Goods under this Order which shall be available to Buyer or Xxxxx’s designee in accordance with the performance of the Order or any regulatory requirements and until the later of: Rev 2 8430-QSP-FORM-001 SAI Terms and Conditions Page 3 of 11 12/4/2018 Master document is electronic, verify current revision prior to use (i) four (4) years after final payment is received by Xxxxxx, (ii) final resolution of any dispute involving the Goods delivered hereunder, (iii) the latest time required by an Order, (iv) the latest time required by applicable laws and regulations, (v) as otherwise directed by Xxxxx. Buyer, Xxxxx’s designee, and all regulatory authorities (FAA, DCMA, etc.) shall retain the right of access to all Seller facilities (including those of Suppliers) involved in the Order and to all applicable records related to the Order. All Goods furnished under this Order by Seller to Buyer shall be subject to inspection and testing by Buyer and/or Buyer’s designee. Should such inspection and testing by Buyer or Xxxxx’s designee reveal that the Goods or any part thereof do not conform to the specifications or guarantees set forth herein or are defective, Buyer or Buyer’s designee may, at its option:
A. Reject the Goods and return them to Seller at Seller’s risk and expense;
B. Arrange for the repair of Goods or make Goods otherwise acceptable at Seller’s expense in accordance with Xxxxx’s timely...
