Inspection for Turn‐Key Package. Prior to Closing, Seller will, with notice to Purchaser, schedule a date for Purchaser or Purchaser's Agent to attend an inspection appointment at the Project specifically for purposes of inspecting the delivery of the Turn‐Key Package for the Unit ("Turn‐Key Inspection"). Xxxxxxxxx agrees to attend the Turn‐Key Inspection at Purchaser's sole expense. At the Turn‐Key Inspection, Purchaser shall inspect the Unit with Seller with respect to the Turn‐Key Package only, at which time the parties will complete a checklist specifying any work required to complete Seller's delivery of the Turn‐Key Package ("Turn‐Key Punchlist") in accordance with this Purchase Agreement. The Turn‐Key Inspection shall be separate and apart from the Initial Inspection described in Section E.9.a above. This Section E.9.b shall not apply if Purchaser has opted out of receiving the Turn‐Key Package under Section D above. Xxxxxxxxx agrees to accept possession of the Unit despite the existence of such defects or damage to the Unit, including, but not limited to, any defects in carpets, appliances, flooring, walls, furniture, fixtures and Turn‐Key Package items which may be listed on the Unit Punchlist and/or the Turn‐Key Punchlist. Seller will cooperate with and assist Xxxxxxxxx in having legitimately‐listed defects or damage corrected or repaired within a reasonable time thereafter by the responsible warrantor. This obligation shall survive Closing. Purchaser agrees to indemnify Seller for any damages or losses, including interest and attorneys’ fees, resulting from any refusal to make such inspection, sign the Unit Punchlist or Turn‐Key Punchlist, or accept possession of the Unit upon request by Seller (unless the Unit is uninhabitable), and if Purchaser shall make any such refusal, Purchaser shall be deemed to be in default under this Purchase Agreement. Purchaser acknowledges that it is Purchaser’s responsibility to cooperate with Seller or other warrantors and to permit inspection, and that if Purchaser fails to inspect (or permit inspection of) Purchaser’s Unit on the date(s) and time(s) specified by Seller or other warrantors, then Purchaser acknowledges that such conduct will constitute a waiver of Purchaser’s inspection rights hereunder. Landlord will be liable for the cost of any cleaning or repair to correct damages found at the time of the inspection.   • Inspection Reports A "full inspection report" comprises a Site Master File (compiled by the manufacturer or by the inspectorate) and a narrative report by the inspectorate. A "detailed report" responds to specific queries about a firm by the other Party.

  • Environmental Inspection at End of Agreement Term A. At Authority’s discretion, at least one hundred and twenty (120) days before the expiration or early termination of the Term as provided herein, Company will conduct an environmental inspection and examination of the Company Premises. At its discretion, Authority may complete environmental reviews to determine if recognized environmental conditions exist that could warrant soil and groundwater sampling. If warranted by the findings of Company or Authority’s inspection or if requested by Authority, a compliance audit or site assessment will be performed within the aforementioned time period by a qualified professional acceptable to Authority who will report the findings to Authority. The cost for professional consulting or engineering services required for such audit will be at the expense of Company. If a site assessment is conducted, Company agrees to pay all associated laboratory and testing fees incurred to test and analyze samples collected during the site assessment process. The Authority may also choose to conduct the compliance audit or site assessment. If the results of the assessment indicate that the Company Premises have been impacted by the release of Hazardous Substances, Company will immediately take such action as is necessary and will provide a substantial guaranty in a form and content acceptable to Authority that Company will clean up the contamination at its own expense, at no expense to Authority, and in accordance with Applicable Laws to the extent that it is obligated to do so by virtue of the foregoing provisions of this Article.

  • Billing Specifications 55.6.1 The Parties agree that billing requirements and outputs will be consistent with the Ordering & Billing Form (OBF) and also with Telcordia Technologies Billing Output Specifications (BOS).

  • Project Reports; Completion Report 1. The Recipient shall monitor and evaluate the progress of the Project and prepare Project Reports in accordance with the provisions of Section 2.06 of the Standard Conditions and on the basis of indicators agreed with the World Bank. Each Project Report shall cover the period of one (1) calendar semester, and shall be furnished to the World Bank not later than one (1) month after the end of the period covered by such report.
