Common use of Inspection/Testing Clause in Contracts

Inspection/Testing. In order to assess Seller’s work quality, conformance with Buyer’s specifications and compliance with this Order, including but not limited to Seller’s representations, warranties, certifications and covenants under this Order, upon reasonable notice by Buyer, all: (a) goods, materials and services related in any way to the goods and services purchased hereunder (including without limitation raw materials, components, intermediate assemblies, work in process, tools and end products) shall be subject to inspection and test by Buyer and its customer or representative at all times and places, including sites where the goods and services are created or performed, whether they are at premises of Seller, Seller’s suppliers or elsewhere; and (b) of Seller’s books and records relating to this Order shall be subject to inspection by Buyer. If any inspection, test, audit or similar oversight activity is made on Seller’s or its suppliers’ premises, Seller shall, without additional charge: (i) provide all reasonable access and assistance for the safety and convenience of the inspectors and (ii) take all necessary precautions and implement appropriate safety procedures for the safety of Buyer’s personnel while they are present on such premises. If Buyer’s personnel require medical attention on such premises, Seller will arrange for appropriate attention. If in Buyer’s opinion the safety of its personnel on such premises may be imperiled by local conditions, Buyer may remove some or all of its personnel from such premises, and Buyer shall have no responsibility for any resulting impact on Seller or its suppliers. If specific Buyer and/or Buyer’s customer tests, inspection and/or witness points are included in this Order, the goods shall not be shipped without an inspector’s release or a written waiver of test/inspection/witness with respect to each such point; however, Buyer shall not be permitted to unreasonably delay shipment; and Seller shall notify Buyer in writing at least twenty (20) days prior to each of Seller’s scheduled final and, if applicable, intermediate test/inspection/witness points. Buyer’s failure to inspect, accept, reject or detect defects by inspection shall neither relieve Seller from responsibility for such goods or services that are not in accordance with the Order requirements nor impose liabilities on Buyer.

INSPEKTIONEN/PRÜFUNGEN UND QUALITÄT. 7.1 Inspektionen/Prüfungen. Im Hinblick auf die Bewertung der Arbeitsqualität des Lieferanten und/oder der Erfüllung dieser Bestellung durch den Lieferanten und nach Ankündigung durch den Xxxxxx innerhalb einer angemessenen Xxxxx: (a) unterliegen alle Waren, Materialien und Dienstleistungen im Zusammenhang mit den im Rahmen dieser Bestellung gekauften Positionen, einschliesslich Ausgangsmaterialien, Komponenten, Baugruppen, unfertiger Erzeugnisse, Werkzeugen und Endprodukten, der Inspektion und Prüfung durch den Xxxxxx, seinen Kunden, Vertreter oder Aufsichtsbehörden an xxxxx Xxxxx, einschliesslich der Standorte, an denen die Waren hergestellt werden oder sich befinden bzw. Für den Fall, dass es der Xxxxxx unterlässt, Inspektionen oder Prüfungen der Ware, Materialien oder Dienstleistungen durchzuführen oder im Rahmen von Inspektionen oder Prüfungen Xxxxxx festzustellen oder zurückzuweisen, wird der Lieferant dadurch nicht von seinen Gewährleistungspflichten oder anderer Verpflichtungen oder Verantwortlichkeiten im Rahmen dieser Bestellung entbunden. Der Lieferant verpflichtet sich, auf Aufforderung, Angaben zur Hinzuziehung von in Besitz von Minderheiten und/oder Frauen befindlichen Unternehmen und weitere demographische Angaben bereitzustellen.

ACCES AUX LOCAUX, INSPECTION ET QUALITE. 7.1 Inspection / Contrôles. Afin que la qualité du travail du Fournisseur et le respect par le Fournisseur des engagements souscrits au titre de la Commande puissent être vérifiés, après préavis raisonnable notifié par l’Acheteur : (a) tous les marchandises, matériels et prestations en lien avec les biens et les services, y compris les matières premières, les pièces détachées, les montages intermédiaires, le travail en cours, les outils et les produits finis, pourront être inspectés et testés par l'Acheteur, le Client Final ou son représentant, ou les autorités réglementaires, en tout lieu, y compris sur xxx xxxxx de fabrication ou de localisation des biens ou de prestation des services, que ces lieux se trouvent chez le Fournisseur ou en tout autre endroit ; et (b) les livres et registres des établissements du Fournisseur relatifs à cette Commande pourront être inspectés par l’Acheteur ou toute personne qu’il désignera. Si la Commande inclut des points d’inspection spécifiques par l’Acheteur et/ou par le Client Final, les biens ne seront pas expédiés sans une autorisation d’une personne chargée de l’inspection ou sans sa renonciation écrite à procéder à une telle inspection. Toutefois, l’Acheteur ne sera pas autorisé à retarder l’expédition sans motif valable; et le Fournisseur avisera par écrit l’Acheteur au moins vingt (20) jours avant chacun des points d’inspection finaux et, le cas échéant, intermédiaires, prévus. Le Fournisseur s’engage à coopérer xxxxxx ces inspections ou audits, notamment en complétant et retournant les questionnaires et en mettant à disposition des représentants qualifiés. If in Buyer’s opinion the safety of its personnel on such premises may be imperiled by local conditions, Buyer may remove some or all of its personnel from such premises, and Buyer shall have no responsibility for any resulting impact on Seller or its suppliersdesignee. If specific Buyer and/or Buyer’s customer tests, inspection and/or witness points are included in this Order, the goods shall not be shipped without an inspector’s release or a written waiver of test/inspection/witness with respect to each such point; however, Buyer shall not be permitted to unreasonably delay shipment; and Seller Supplier shall notify Buyer in writing at least twenty (20) days prior to each of SellerSupplier’s scheduled final and, if applicable, intermediate test/inspection/witness points. Supplier agrees to cooperate with such/audit inspection including, completing and returning questionnaires and making available its knowledgeable representatives. Buyer’s failure to inspectinspect or test goods, accept, materials or services or Buyer’s failure to reject or detect defects by inspection or testing shall neither not relieve Seller Supplier from responsibility for such goods its warranty obligations or services that are not in accordance with the Order requirements nor impose liabilities on Buyerany of its other obligations or responsibilities under this Order. Supplier agrees to provide small business as well as minority and/or women owned business utilization and demographic data upon request. 7. PEMERIKSAAN/PENGUJIAN XXX KUALITAS 7.1 Inspeksi/Pengujian. Inspection/Testing. It is expressly agreed that neither inspections nor payments prior to delivery will constitute final acceptance. If Buyer rejects any portion of the goods, Buyer has the right, effective upon written notice to Seller, to: (a) rescind the applicable Purchase Order in its entirety; (b) accept the goods at a reasonably reduced price; or (c) reject the goods and services are created or performed, whether they are at premises require replacement of Seller, Seller’s suppliers or elsewhere; and (b) of Seller’s books and records relating to this Order shall be subject to inspection by Buyerthe rejected goods. If any inspection, test, audit or similar oversight activity is made on Seller’s or its suppliers’ premisesBuyer requires replacement of the goods, Seller shall, without additional charge: (i) provide at its expense, promptly replace the nonconforming or defective goods and pay for all reasonable access related expenses, including, but not limited to, unpacking, examining and assistance repacking such goods, transportation charges for the safety and convenience return of the inspectors defective goods and (ii) take all necessary precautions the delivery of replacement goods. If Seller fails to timely deliver replacement goods, Xxxxx may replace them with goods from a third party and implement appropriate safety procedures charge Seller the cost thereof and terminate the Purchase Order for the safety of cause. Goods which have been delivered and rejected in whole or in part may, at Buyer’s personnel while they option, be returned to Seller or held for disposition at Seller’s risk and expense. In the event Buyer receives goods the defects or nonconformity of which are present not apparent on such premises. If examination, Buyer reserves the right to require replacement, as well as payment of damages, upon Buyer’s personnel require medical attention on such premises, discovery of the defects or nonconformity. Nothing contained in this Purchase Order shall relieve the Seller will arrange for appropriate attention. If in Buyer’s opinion any way from the safety obligations of its personnel on such premises may be imperiled by local conditions, Buyer may remove some or all of its personnel from such premises, and Buyer shall have no responsibility for any resulting impact on Seller or its suppliers. If specific Buyer and/or Buyer’s customer teststesting, inspection and/or witness points are included in this Order, the goods shall not be shipped without an inspector’s release or a written waiver of test/inspection/witness with respect to each such point; however, Buyer shall not be permitted to unreasonably delay shipment; and Seller shall notify Buyer in writing at least twenty (20) days prior to each of Seller’s scheduled final and, if applicable, intermediate test/inspection/witness points. Buyer’s failure to inspect, accept, reject or detect defects by inspection shall neither relieve Seller from responsibility for such goods or services that are not in accordance with the Order requirements nor impose liabilities on Buyerquality control.
