Institute’s authority. The dispute resolution process set forth in this Contract will not be required prior to the exercise of any contractual right or statutory authority by the Institute Board, including remedial authority for any material breach of this Contract, provided that the Institute’s exercise of any such right or authority will be subject to this dispute resolution process unless otherwise provided by law.
