Interferences and/or Reexaminations. Unless the Parties mutually agree otherwise in writing, (i) Licensee shall not be responsible for the costs of any interference or reexamination initiated by Symphony with respect to any Licensed Patent, and (ii) Symphony shall not be responsible for the costs of any interference or reexamination initiated by Licensee with respect to any patents or patent applications related to the Licensee XL647 IP.
Interferences and/or Reexaminations. Sublicensee shall not be responsible for the costs of any interference or reexamination initiated by SLX with respect to any Licensed Patent in the Program Field, unless the Parties mutually agree in writing that it is reasonably necessary or useful to file and prosecute such interference or reexamination in connection with such Licensed Patent to protect their interests in such Licensed Patent, which agreement will not be unreasonably withheld or delayed. In the event of such agreement, unless otherwise agreed in writing by the Parties, all costs and expenses (including attorneys fees) reasonably incurred by SLX in connection with the interference or reexamination of any such Licensed Patent shall born by Sublicensee.

  • Investigations; Litigation There is no investigation or review pending (or, to the knowledge of Parent, threatened) by any Governmental Entity with respect to Parent or any of its Subsidiaries which would have, individually or in the aggregate, a Parent Material Adverse Effect, and there are no actions, suits, inquiries, investigations or proceedings pending (or, to Parent’s knowledge, threatened) against or affecting Parent or its Subsidiaries, or any of their respective properties at law or in equity before, and there are no orders, judgments or decrees of, or before, any Governmental Entity, in each case which would have, individually or in the aggregate, a Parent Material Adverse Effect.

  • Litigation and Orders There is no Proceeding pending or, to Buyer’s Knowledge, Threatened against Buyer, as of the date of this Agreement, that, if decided adversely to Buyer, will materially and adversely affect Buyer’s ability to consummate the transactions contemplated herein.
