International Data Transfer, Model Clauses. 3.15.1. The parties agree Prosperoware is a "data importer" and Customer is the "data exporter" under the Model Clauses. To the extent that Prosperoware processes any Customer Personal Data protected by EU data protection law under the Agreement and/or that originates from the EEA, the parties agree to rely on the Model Clauses to provide adequate protection for any Customer Personal Data, attached hereto Exhibit 1, except for transfers: (a) to and from any country which has a valid adequacy decision from the European Commission or Swiss Federal Data Protection Authority as applicable; or (b) to and from any organization which ensures an adequate level of protection in accordance with the applicable EU data protection laws.

  • CHANGES TO THE ORIGINAL LEARNING AGREEMENT The section to be completed during the mobility is needed only if changes have to be introduced into the original Learning Agreement. In that case, the section to be completed before the mobility should be kept unchanged and changes should be described in this section. When changes to the mobility programme arise, they should be agreed as soon as possible with the sending institution. In case the change concerns an extension of the duration of the mobility programme abroad, the request can be made by the trainee at the latest one month before the foreseen end date. All parties must confirm that the proposed amendments to the Learning Agreement are approved. For this specific section, original or scanned signatures are not mandatory and an approval by email may be enough. The procedure has to be decided by the sending institution, depending on the national legislation.

  • Data Deletion As stated in the Student Data Transfer or Destruction Section of this Agreement, Provider shall ensure that all Student Data in its possession and in the possession of any subcontractors, or agents to whom Provider may have transferred Student Data, is destroyed or, as directed by the Board, transferred to the Board in a format determined by the Board within the time periods provided in the Student Data Transfer or Destruction Section of this Agreement.

You agree that any delay described above will be a permissible delay under the regulations applicable to the availability of funds held in deposit accounts.   • Meteorological Data Reporting Requirement (Applicable to wind generation facilities only) The wind generation facility shall, at a minimum, be required to provide the Transmission Provider with site-specific meteorological data including: • Temperature (degrees Fahrenheit) • Wind speed (meters/second) • Wind direction (degrees from True North) • Atmosphere pressure (hectopascals) • Forced outage data (wind turbine and MW unavailability)

  • POST ONLINE PUBLIC AUCTION PROCEDURES 4.1. Successful E-bidders shall and undertake to sign the Memorandum of Sale at the office of the Auctioneer within 3 working days from the date of auction, failing which the deposit paid will be forfeited to the Assignee bank and the sale will be deemed cancelled/terminated and the property may be put up again for subsequent auction without further notice to the said E-Bidders. The Auctioneer shall send the Memorandum of Sale for stamping and thereafter forward the same together with the required deposit paid under Clause 2.4 above and the differential sum paid under this clause (if any) to the Assignee bank.
