Model Clauses definition

Model Clauses means, as applicable:
Model Clauses means the standard contractual clauses annexed to the EU Commission Decision 2010/87/EU of 5 February 2010 for the transfer of Personal Data to Processors established in third countries under the EU Directives and any amendment, replacement or renewal thereof by the European Commission.

  • For the avoidance of doubt, the Supplier shall not be obliged to enter into Model Clauses if the transfer is subject to other applicable safeguards, such as an adequacy decision, other appropriate safeguards including BCRs, the data subject’s consent or if needed for performance of a contract with the data subject.

  • Supplier will be required to ensure that such transfer is at all times lawful, e.g. by ensuring that Model Clauses, or a similar legal safeguard approved by Laws, will apply to such transfer.

  • For the purposes of the EU Model Clauses and UK Addendum, You and Agilysys agree that (i) You will act as the data exporter on Your own behalf and on behalf of any of Your entities, (ii) Agilysys will act on its own behalf and/or on behalf of the relevant Agilysys Affiliates as the data importers, (iii) any Third Party Subprocessors will act as ‘subcontractors’ pursuant to Clause 11 of the EU Model Clauses and UK Addendum.

  • Prior to receiving any Personal Data of Customer, Sub-Processors will engage with Company in written agreements that are substantially similar in scope, where applicable, to this DPA and the EU Model Clauses.

  • To the extent there is any conflict between this Data Processing Agreement and the EU Model Clauses or the UK Addendum, the EU Model Clauses or UK Addendum shall prevail.


More Definitions of Model Clauses

Model Clauses means the Standard Contractual Clauses approved in Commission Decision of 5 February 2010 for the transfer of personal data to processors established in third countries, under Directive 95/46/EC (2010/87/EU) or any replacement set of clauses approved in a subsequent Commission Decision.

Model Clauses means the standard contractual clauses set out in Commission Implementing Decision (EU) 2021/914 of 4 June 2021 on standard contractual clauses for the transfer of personal data to third countries pursuant to Regulation (EU) 2016/679 of the European Parliament and of the Council (Text with EEA relevance) C/2021/3972, (or in respect of the existing transfer of personal data to processors established in third countries as applicable, it means the standard contractual clauses under Directive 95/46/EC, which are set out in Commission Decision 2010/87 of 5 February 2010), or such replacement provisions as may be issued from time to time;
