INTIMACY DIRECTORS. (1) Prior to each season, COT and AGMA shall discuss the need for qualified Intimacy Coaches. Thereafter, COT, AGMA, and AGMA ARTISTS involved in productions with intimate scenes will maintain an open dialogue regarding issues involving intimacy in an effort to ensure a safe and comfortable working environment for all ARTISTS. COT shall engage a qualified Intimacy Coach when COT, AGMA and AGMA ARTISTS agree it is necessary or desirable. (2) Intimacy Coaches shall be compensated on an hourly basis as follows: 8/1/2023 8/1/2024 8/1/2025 Per Hour $40.00 $41.20 $42.45 Overtime Rate $60.00 $61.80 $63.68 (a) Minimum Compensation - Corps Dancers may be engaged on a weekly or per performance basis and shall be compensated at no less than the following: (b) Any non-resident dancer shall be paid per diem for each day of their engagement. COT may, at its option, provide suitable housing with cooking facilities. In the event said housing is provided the dancer shall be paid the partial per diem for each day of the period of their engagement. (1) Weekly Engagement - Corps dancers engaged on a weekly basis shall be engaged for a number of weeks not less than the number of performances. During any week of the engagement the Corps Dancer may be scheduled for no more than 30 hours with no more than six hours to be scheduled on any one day. Each corps dancer shall receive one Free Day per week, Monday through Sunday. No Corps dancer shall be required to work more than ten (10) days without a Free Day. Any hours worked over 30 or any hours worked on a Free Day shall be compensated for at the overtime rate in 1/4 hour increments. The minimum call on a Free Day shall be three (3) hours. All performances shall be considered a four hour call or the actual time inclusive of make-up and undressing, whichever is greater. (2) Per Performance Engagement - Corps Dancers engaged on a per performance basis shall be paid the hourly rate for each hour, or fraction thereof, the Corps Dancer is scheduled to attend rehearsal. No call to rehearsal shall be less than two hours or greater than four hours. Any Corps Dancer required to attend rehearsal beyond the four hour maximum shall be compensated at one and one half (1 ½) times the hourly rate for each hour, or fraction thereof, over the maximum. No corps dancer shall be scheduled to attend rehearsal for more than six consecutive days without a Free Day. Requires advanced technical and business knowledge in software development life cycle, quality assurance, project management and other related disciplines/processes.

  • Indemnification Notwithstanding any contrary provision contained in this Agreement, any election hereunder or any termination of this Agreement, and whether or not this Agreement is otherwise carried out, the provisions of Section 5 shall not be in any way affected by such election or termination or failure to carry out the terms of this Agreement or any part hereof.

  • Termination In the event that either Party seeks to terminate this DPA, they may do so by mutual written consent so long as the Service Agreement has lapsed or has been terminated. Either party may terminate this DPA and any service agreement or contract if the other party breaches any terms of this DPA.

  • General The Trustee shall keep proper books of record and account of all the transactions of each Trust under this Indenture at its corporate trust office, including a record of the name and address of, and the Units issued by each Trust and held by, every Unit holder, and such books and records of each Trust shall be open to inspection by any Unit holder of such Trust at all reasonable times during the usual business hours. The Trustee shall make such annual or other reports as may from time to time be required under any applicable state or federal statute or rule or regulations thereunder.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
