Introduction and General Information. Signing this release (this “Release”) is one condition to receiving certain benefits offered by Crossroads Systems, Inc. (the “Company”) that are in addition to anything of value to which you already are entitled. Reference is made to that certain Amended and Restated Agreement dated November 21, 2013 (the “Agreement”) between you and the Company. Capitalized terms used but not defined herein shall have the meanings ascribed to such terms in the Agreement. The Agreement provides that the Company will provide certain consideration, if among other requirements, you execute and deliver this Release and do not revoke the ADEA Release (as defined below) following your termination date and within the periods specified in Section 2(b), as set forth below. You should thoroughly review and understand the effect of this Release before signing it. To the extent you have any claims covered by this Release, you will be waiving potentially valuable rights by signing this Release. You also are advised to discuss this Release with your attorney.

Capitalized terms used but not defined herein shall have the meanings ascribed to such terms in the Agreement.
