Common use of Investments, Associations and Branches Clause in Contracts

Investments, Associations and Branches. Neither the Issuer nor any other member of the Group: (a) is the holder or beneficial owner of, and has not agreed to acquire, any share or other capital of any other company or corporation (wherever incorporated) other than those of the other members of the Group; (b) is, and has not agreed to become, a member of any partnership, joint venture, consortium or other unincorporated association, body or undertaking in which it is to participate with any other in any business or investment; (c) has any branch, agency or place of business outside the jurisdiction of its incorporation and no permanent establishment (as that expression is defined in the relevant double taxation relief orders current at the date of this Agreement) outside the jurisdiction of its incorporation.
