Issuing and Paying Agent and Dealers. The City will not, without the prior written consent of the Bank, which consent shall not be unreasonably withheld or delayed,delayed (subject to the requirements of Section 7.12 above), (i) remove, or seek to remove, the Issuing and Paying Agent or any Dealer or (ii) appoint or consent to the appointment of any successor thereto. The City shall at all times maintain an Issuing and Paying Agent and a Dealer under the Issuing and Paying Agent Agreement.
