Common use of Issuing and Paying Agent Clause in Contracts

Issuing and Paying Agent. The Issuer shall provide to the Issuing and Paying Agent in a sufficient quantity, in the case of paragraphs 13.1.2(ii), 13.1.3 and 13.1.4, for distribution among the relevant Agents as required by this Agreement or the Conditions: 13.1.1 executed master Global Notes and Global Certificates to be used from time to time for the purpose of issuing Notes in accordance with Clause 3; 13.1.2 if Definitive Notes in bearer form of any Series are to be issued, (i) such Definitive Notes and any related Coupons, Receipts and Talons, duly executed on behalf of the Issuer, (ii) specimens of such Notes, Coupons, Receipts and Talons and (iii) additional forms of such Notes, Coupons, Receipts and Talons for the purpose of issuing replacements, at least 14 days before the Exchange Date for the relative Global Note (and the Issuing and Paying Agent (or its agent on its behalf) shall authenticate such Definitive Notes immediately before their issue); 13.1.3 all documents (including Exercise Notices and Exchange Notices) required under the Notes or by any stock exchange on which the Notes are listed to be available for issue or inspection during business hours (and the Paying Agents, in the case of Bearer Notes, and the Transfer Agent, in the case of Registered Notes, shall make such documents available for collection or inspection to the Noteholders that are so entitled); and 13.1.4 forms of voting certificates and block voting instructions, together with instructions as to how to complete, deal with and record the issue of such forms (and the Paying Agents, in the case of Bearer Notes, and the Transfer Agent, in the case of Registered Notes, shall make such documents available to the relevant Noteholders and carry out the other functions set out in Schedule 3 of the Trust Deed).

Issuing and Paying Agent. The relevant Issuer shall provide to the Issuing and Paying Agent in a sufficient quantity, in the case of paragraphs 13.1.2(iiClauses 13.1(b)(ii), 13.1.3 13.1(c) and 13.1.413.1(d)13.1(b)(B), 13.1(c) and 13.1(d), for distribution among the relevant Agents as required by this Agreement or the Conditions: 13.1.1 (a) executed master Global Notes and Global Certificates to be used from time to time for the purpose of issuing Notes in accordance with Clause 333; 13.1.2 (b) if Definitive Notes in bearer form of any Series are to be issued, : (i) such Definitive Notes and any related Coupons, Receipts and Talons, duly executed on behalf of the relevant Issuer, ; (ii) specimens of such Notes, Coupons, Receipts and Talons and Talons; and (iii) additional forms of such Notes, Coupons, Receipts and Talons for the purpose of issuing replacements, at least 14 days before the Exchange Date for the relative Global Note (and the Issuing and Paying Agent (or its agent on its behalf) shall authenticate such Definitive Notes immediately before their issue); 13.1.3 (c) all documents (including Exercise Notices and Exchange Notices) required under the Notes or by any stock exchange on which the Notes are listed to be available for issue or inspection during business hours (and the Paying Agents, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, shall make such documents available for collection or inspection to the Noteholders that are so entitled); and 13.1.4 (d) forms of voting certificates and block voting instructions, together with instructions as to how to complete, deal with and record the issue of such forms (and the Paying Agents, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, shall make such documents available to the relevant Noteholders and carry out the other functions set out in Schedule 3 of the Trust Deed).

Issuing and Paying Agent. The relevant Issuer shall provide to the Issuing and Paying Agent in a sufficient quantity, in the case of paragraphs 13.1.2(ii14.1.2(ii), 13.1.3 14.1.3 and 13.1.414.1.4, for distribution among the relevant Agents as required by this Agreement or the Conditions: 13.1.1 14.1.1 executed master Global Notes and Global Certificates to be used from time to time for the purpose of issuing Notes in accordance with Clause 3; 13.1.2 14.1.2 if Definitive Notes in bearer form of any Series are to be issued, (i) such Definitive Notes and any related Coupons, Receipts Coupons and Talons, duly executed on behalf of the relevant Issuer, (ii) specimens of such Notes, Coupons, Receipts Coupons and Talons and (iii) additional forms of such Notes, Coupons, Receipts Coupons and Talons for the purpose of issuing replacements, at least 14 days before the Exchange Date for the relative Global Note (and the Issuing and Paying Agent (or its agent on its behalf) shall authenticate such Definitive Notes immediately before their issue); 13.1.3 14.1.3 all documents (including Exercise Notices and Exchange Notices) required under the Notes or by any stock exchange on which the Notes are listed to be available for issue or inspection by appointment during business hours (and the Paying AgentsAgents and the CMU Lodging Agent, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, or, in the case of Notes cleared through the CMU Service, the CMU Lodging Agent shall make such documents available for collection or inspection to the Noteholders that are so entitled)) or at the relevant Agent’s option, such inspection may be provided electronically; and 13.1.4 14.1.4 forms of voting certificates and block voting instructions, together with instructions as to how to complete, deal with and record the issue of such forms (and the Paying AgentsAgents and the CMU Lodging Agent, in the case of Bearer Notes, and the Transfer Agent, in the case of Registered Notes, shall make such documents available to the relevant Noteholders and carry out the other functions set out in Schedule 3 of the Trust Deed).the

Issuing and Paying Agent. The Issuer shall provide to the Issuing and Paying Agent in a sufficient quantity, in the case of paragraphs sub-Clauses 13.1.2(ii), 13.1.3 and 13.1.4, for distribution among the relevant Agents as required by this Agreement or the Conditions: 13.1.1 executed master Global Notes and Global Certificates to be used from time to time for the purpose of issuing Notes in accordance with Clause 3; 13.1.2 if Definitive Notes in bearer form of any Series are to be issued, (i) such Definitive Notes and any related Coupons, Receipts and Talons, duly executed on behalf of the Issuer, (ii) specimens of such Notes, Coupons, Receipts and Talons and (iii) additional forms of such Notes, Coupons, Receipts and Talons for the purpose of issuing replacements, at least 14 days before the Exchange Date for the relative Global Note (and the Issuing and Paying Agent (or its agent on its behalf) shall authenticate such Definitive Notes immediately before their issue); 13.1.3 all documents (including Exercise Notices and Exchange Notices) required under the Notes or by the Luxembourg Stock Exchange or any other stock exchange on which the Notes are listed to be available for issue or inspection during business hours (and the Paying Agents, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, shall make such documents available for collection or inspection to the Noteholders that are so entitledentitled during normal business hours at its specified offices). Such an obligation may be satisfied by posting the required documents onto an electronic website pursuant to Article 14 of Directive 2003/71/EC; and 13.1.4 forms of voting certificates and block voting instructions, together with instructions as to how to complete, deal with and record the issue of such forms (and the Paying Agents, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, shall make such documents available to the relevant Noteholders and carry out the other functions set out in Schedule 3 of the Trust Deed).

Issuing and Paying Agent. The Issuer shall provide to the Issuing and Paying Agent in a sufficient quantity, in the case of paragraphs 13.1.2(iiClauses Schedule 113.1(b)(ii), 13.1.3 Schedule 113.1(c) and 13.1.4Schedule 113.1(d), for distribution among the relevant Agents as required by this Agreement or the Conditions: 13.1.1 (a) executed master Global Notes and Global Certificates to be used from time to time for the purpose of issuing Notes in accordance with Clause 3Schedule 13; 13.1.2 (b) if Definitive Notes in bearer form of any Series are to be issued, : (i) such Definitive Notes and any related Coupons, Receipts and Talons, duly executed on behalf of the Issuer, ; (ii) specimens of such Notes, Coupons, Receipts and Talons and Talons; and (iii) additional forms of such Notes, Coupons, Receipts and Talons for the purpose of issuing replacements, at least 14 days before the Exchange Date for the relative Global Note (and the Issuing and Paying Agent (or its agent on its behalf) shall authenticate such Definitive Notes immediately before their issue); 13.1.3 (c) all documents (including Exercise Notices and Exchange Notices) required under the Notes or by any stock exchange on which the Notes are listed to be available for issue or inspection during business hours (and the Paying Agents, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, shall make such documents available for collection or inspection to the Noteholders that are so entitled); and 13.1.4 (d) forms of voting certificates and block voting instructions, together with instructions as to how to complete, deal with and record the issue of such forms (and the Paying Agents, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, shall make such documents available to the relevant Noteholders and carry out the other functions set out in Schedule 3 of the Trust Deed).

The Relevant Issuer shall provide to the Issuing and Paying Agent in a sufficient quantity, in the case of paragraphs 13.1.2(ii13.1(b)(ii), 13.1.3 13.1(c) and 13.1.413.1(d), for distribution among the relevant Agents as required by this Agreement or the Conditions: 13.1.1 (a) executed master Global Notes and Global Certificates to be used from time to time for the purpose of issuing Notes in accordance with Clause 33 (Issue of Notes and Certificates); 13.1.2 (b) if Definitive Notes in bearer form of any Series are to be issued, (i) such Definitive Notes and any related Coupons, Receipts and Talons, duly executed on behalf of the Relevant Issuer, (ii) specimens of such Notes, Coupons, Receipts and Talons and (iii) additional forms of such Notes, Coupons, Receipts and Talons for the purpose of issuing replacements, at least 14 days before the Exchange Date for the relative Global Note (and the Issuing and Paying Agent (or its agent on its behalf) shall authenticate such Definitive Notes immediately before their issue); 13.1.3 (c) all documents (including Exercise Notices and Exchange Notices) required under the Notes or by any stock exchange on which the Notes are listed to be available for issue or inspection during business hours (and the Paying Agents, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, shall make such documents available for collection or inspection to the Noteholders that are so entitled); and 13.1.4 (d) forms of voting certificates and block voting instructions, together with instructions as to how to complete, deal with and record the issue of such forms (and the Paying Agents, in the case of Bearer Notes, and the Transfer AgentAgents, in the case of Registered Notes, shall make such documents available to the relevant Noteholders and carry out the other functions set out in Schedule 3 (Provisions for Meetings of Noteholders) of the Trust Deed). Each Paying Agent, or, as the case may be, the Transfer Agent, shall keep a full record of voting certificates issued by it and will give to the Relevant Issuer and the Note Trustee not less than 24 hours before the time appointed for any meeting, full particulars of all voting certificates and block voting instructions issued by it in respect of such meeting or adjourned meeting.
