Jiangxi Nobao Registered Capital. Immediately prior to the Closing, the registered capital of Jiangxi Nobao is US$15,000,000, all of which has been contributed in full and duly verified by a certified accountant registered in the PRC, and the verification report was timely filed with the relevant PRC Governmental Authority. The HK Subsidiary owns hundred percent (100%) of the registered capital of Jiangxi Nobao (on a fully diluted basis), which is free and clear of any Encumbrance. There are no subscriptions, options, warrants, conversion privileges, pre-emptive or other rights or Contracts with respect to the issuance or transfer of any equity interest or registered capital, or any securities convertible into or exchangeable for any equity interest or registered capital, of Jiangxi Nobao.
