Authorized Capital definition

Authorized Capital or “Nominal Capital” means such capital as is authorized by the Memorandum of the Company to be the maximum amount of share capital of the Company.
Authorized Capital of a company means the sum of the aggregate par value of all shares with par value which the company is authorized by its Memorandum to issue plus the amount, if any, stated in its Memorandum as authorized capital to be represented by shares without par value which the company is authorized by its Memorandum to issue;
Authorized Capital has the meaning set out in Section (c) of Schedule F.

Examples of Authorized Capital in a sentence

  • Shares of the Company (i) which are issued or sold during the term of the Authorized Capital 2021 excluding shareholders’ pre- emption rights directly or respectively applying Section 186 (3) sentence 4 AktG or (ii) which are or can be issued to service option and convertible bonds applying Section 186 (3) sentence 4 AktG while excluding shareholders’ pre-emption rights during the term of the Authorized Capital 2021, shall be counted towards said limit of 10%.

  • The Supervisory Board is entitled to adjust the respective version of the Company’s Articles of Association with re- gard to the respective use of the Authorized Capital 2021 and after the expiration of the authorization period.

More Definitions of Authorized Capital

Authorized Capital means the authorized capital of the Company, as specified in the then-applicable Articles of Association.
