Common use of Joint Steering Committee Membership Clause in Contracts

Joint Steering Committee Membership. Auxilium and Pfizer shall each designate three (3) representatives of appropriate seniority and experience to serve on the JSC by written notice to the other Party. Either Party may designate substitutes for its representatives if one (1) or more of such Party’s designated representatives are unable to be present at a meeting. From time to time each Party may replace its representatives by written notice to the other Party specifying the prior representative(s) and their replacement(s). The JSC shall be co-chaired by a representative of each of Pfizer and Auxilium. One member of the JSC shall serve as secretary of the JSC at each Committee meeting, and the secretary shall alternate from meeting to meeting between a Pfizer Committee member and an Auxilium Committee member. The chairpersons shall be responsible for (i) calling meetings, (ii) preparing and issuing minutes of each such meeting within thirty (30) days thereafter, and (iii) preparing and circulating an agenda for the upcoming meeting; provided that the chairpersons shall consider including any agenda items proposed by either Party no less than five (5) days prior to the next scheduled JSC meeting.

Either Party may designate substitutes for its representatives if one (1) or more of such Party’s designated representatives are unable to be present at a meeting. One member of the JSC shall serve as secretary of the JSC at each Committee JSC meeting, and the secretary shall alternate from meeting to meeting between a Pfizer Committee an Actelion JSC member and an Auxilium Committee JSC member. The chairpersons shall be responsible for (i) calling meetings, (ii) preparing and issuing minutes of each such meeting within a reasonable time thereafter (but in any event not to exceed thirty (30) days thereafterfollowing such meeting), and (iii) preparing and circulating an agenda for the upcoming meeting; provided that the chairpersons shall consider including any agenda items proposed by either Party no less than five (5) days prior to the next scheduled JSC meeting.

Auxilium Licensor and Pfizer Merck shall each designate three (3) representatives of appropriate seniority and experience Representatives to serve on the JSC Joint Steering Committee by written notice notices to the other Party, which Representatives shall represent development, regulatory and manufacturing functions from each Party. Either Party may designate substitutes for its representatives Representatives if one (1) or more of such Party’s designated representatives Representatives are unable to be present at a meeting. From time to time time, each Party may replace its representatives Representatives by written notice to the other Party specifying the prior representative(sRepresentative(s) and their replacement(s). The JSC Prior to the Option Exercise Date, Licensor shall be co-chaired by a representative designate one (1) of each of Pfizer and Auxilium. One member its Representatives as the chairperson of the JSC and, after the Option Exercise Date, Merck shall serve designate one (1) of its Representatives as secretary the chairperson of the JSC at each Committee meeting, and the secretary shall alternate from meeting to meeting between a Pfizer Committee member and an Auxilium Committee memberJSC. The chairpersons chairperson shall be responsible for (ia) calling meetings, (iib) preparing and issuing minutes of each such meeting within thirty (30) days thereafter, thereafter and (iiic) preparing and circulating an agenda for the upcoming meeting; provided that , but shall have no special authority over the chairpersons other members of the Joint Steering Committee, and shall consider including any agenda items proposed have no additional voting rights or powers beyond those held by either Party no less than five (5) days prior to the next scheduled other JSC meetingmembers.
