Common use of Judicial or Administrative Proceedings Clause in Contracts

Judicial or Administrative Proceedings. Covered Entity may terminate the Underlying Agreement, effective immediately, if (i) Business Associate is named as a defendant in a criminal proceedings for a violation of the HIPAA Rules or other security or privacy laws; or (ii) a finding or stipulation that the Business Associate has violated any standard or requirement of the HIPAA Rules or other security or privacy laws is made in any administrative or civil proceeding in which Business Associate has been joined.

Judicial or Administrative Proceedings. Covered Entity may terminate the Underlying Agreement, effective immediately, if (i) Business Associate is named as a defendant in a criminal proceedings proceeding for a violation of the HIPAA Rules or other security or privacy laws; or (ii) a finding or stipulation that the Business Associate has violated any standard or requirement of the HIPAA Rules or other security or privacy laws is made in any administrative or civil proceeding in which Business Associate has been joined.

Covered Entity may terminate the Underlying Agreement, effective immediately, if (i) Business Associate is named as a defendant in a criminal proceedings proceeding for a violation of HIPAA, the HITECH Act, the HIPAA Rules Regulations or other security or privacy laws; laws or (ii) a A finding or stipulation that the Business Associate has violated any standard or requirement of HIPAA, the HITECH Act, the HIPAA Rules Regulations or other security or privacy laws is made in any administrative or civil proceeding in which the Business Associate has been joined.
