Key Person Event; General Partner Event; Cause Event. At such time as at least two Key Persons cease, for any reason (including by reason of such Principal's death or Incapacity), to devote sufficient professional time and attention to the affairs of the Partnership as is reasonably necessary to carry out the Partnership’s investment program and manage its Investments (a "Key Person Event"), or upon a General Partner Event or Cause Event, then, upon the knowledge of such cessation by the General Partner, the General Partner shall provide prompt written notice of such cessation to each Limited Partner and, if such cessation continues for 30 days following such notice, the Limited Partners may elect, as their sole remedies in connection therewith, for a period of 180 days following the expiration of the aforesaid 30 day period, by vote of the Majority in Interest of all Limited Partners, to terminate the Investment Period (whereupon the last day of the Investment Period shall be deemed to have occurred). In such case, upon the termination of the Investment Period, the Partnership shall not make any new Investments. At any time thereafter (subject to Section 10.1(vii)), the Limited Partners may elect, by vote of the Majority in Interest of all Limited Partners, to recommence the Investment Period. In such event, the Investment Period will be recommenced and the Partnership shall be permitted to make new Investments. In the event the Investment Period is not recommenced within such period, the Investment Period shall be terminated. For the avoidance of doubt, during the afore-mentioned 30 day period and until the suspension of the Investment Period, the Partnership will continue to be obligated to pay the Management Fee to the General Partner pursuant to the first sentence of Section 5.6(b) and should the Investment Period be suspended, the Partnership will continue to be obligated to pay the Management Fee to the General Partner pursuant to the second sentence of Section 5.6(b).

  • Dissolution Event If there is a Dissolution Event before the termination of this Safe, the Investor will automatically be entitled (subject to the liquidation priority set forth in Section 1(d) below) to receive a portion of Proceeds equal to the Cash-Out Amount, due and payable to the Investor immediately prior to the consummation of the Dissolution Event.

  • SUSPENSION & TERMINATION FOR DEFAULT Enterprise Services may suspend Contractor’s operations under this Master Contract immediately by written cure notice of any default. Suspension shall continue until the default is remedied to Enterprise Services’ reasonable satisfaction; Provided, however, that, if after thirty (30) days from such a suspension notice, Contractor remains in default, Enterprise Services may terminate Contractor’s rights under this Master Contract.   • Termination for Change of Control This Agreement may be terminated immediately by SAP upon written notice to Provider if Provider comes under direct or indirect control of any entity competing with SAP. If before such change Provider has informed SAP of such potential change of control without undue delay, the Parties agree to discuss solutions on how to mitigate such termination impact on Customer, such as stepping into the Customer contract by SAP or by any other Affiliate of Provider or any other form of transition to a third party provider.

  • Termination for Market Change (a) In the event of delay or interruption under B8.33, exceeding 90 days, and Contract has not been modified to include replacement timber, this contract may be terminated upon election and written notice by Purchaser, if (i) a rate redetermination for market change under B3.33 shows that the appraised weighted average Indicated Advertised Rate of all Included Timber remaining immediately prior to the delay or interruption has been reduced through a market change by an amount equal to or more than the the weighted average Current Contract Rate, or (ii) the appraised value of the remaining timber is insufficient to cover the adjusted base rates as determined under B3.33.

  • Termination Notice for Force Majeure Event If a Force Majeure Event subsists for a period of 180 (one hundred and eighty) days or more within a continuous period of 365 (three hundred and sixty five) days, either Party may in its discretion terminate this Agreement by issuing a Termination Notice to the other Party without being liable in any manner whatsoever, save as provided in this Article 34, and upon issue of such Termination Notice, this Agreement shall, notwithstanding anything to the contrary contained herein, stand terminated forthwith; provided that before issuing such Termination Notice, the Party intending to issue the Termination Notice shall inform the other Party of such intention and grant 15 (fifteen) days time to make a representation, and may after the expiry of such 15 (fifteen) days period, whether or not it is in receipt of such representation, in its sole discretion issue the Termination Notice.

  • Additional Event of Suspension Section 4.01. Pursuant to Section 6.02 (l) of the General Conditions, the following additional event is specified, namely, that a situation has arisen which shall make it improbable that the Program, or a significant part thereof, will be carried out.
