Salton must be in full compliance with the Kmart Code of Business Conduct and all applicable laws, rules and regulations, including but not limited to child, forced, and prison labor laws and must not have violated the Code of Business Conduct or applicable laws during the twelve calendar months preceding the date of execution of this Agreement.
