Landlord Consents and Waivers. Such Borrower shall deliver to Agent, upon the date of the execution of this Agreement with respect to each lease of premises then in effect and on or before the date of execution of any lease of premises to such Borrower with respect to any lease in effect thereafter, a landlord's waiver (including, upon Agent's request therefor, a consent to a leasehold mortgage) executed by the lessor of each location leased to such Borrower; provided, however, that the foregoing provisions of this Subsection shall not apply to any lease by such Borrower of a sales office where no Collateral is kept other than immaterial office equipment. Each landlord's waiver so delivered shall be in form and substance reasonably satisfactory to Agent. Such Borrower shall pay all of its obligations under such leases of real property when due and promptly shall notify Agent and Lenders of any breach of, or default under, any such lease.

The Company shall use its best efforts to deliver (or cause to be delivered) to the Purchaser, within one hundred and twenty (120) days following the Closing Date, landlord consents and waivers, in form and substance satisfactory to the Purchaser, executed by the Company's real property lessors or landlords with respect to the business locations that are leased by the Company.

Borrower shall deliver to Lender, on or before the date of the execution of this Agreement with respect to each lease of premises then in effect (except with respect to the leases with Persons which are not Affiliates for which Borrower and AFL were unable to obtain landlord's waivers for Lender under the Hauppauge LSA and the AFL LSA before the date of the execution of this Agreement) and on or before the date of execution of any lease of premises to Borrower with respect any lease in effect thereafter, a landlord's waiver (including, upon Lender's request therefor, a consent to a leasehold mortgage, except that Borrower shall only be required to use its best efforts (but not requiring litigation) to obtain a consent to a leasehold mortgage with respect to the leases of Borrower in effect on the date hereof which are other than with Affiliates) executed by the lessor of each location leased to Borrower. At Lender's request, Borrower shall use its best efforts (but not requiring litigation) to obtain and deliver to Lender a landlord's waiver (including upon Lender's request therefor, a consent to a leasehold mortgage) with respect to any leases for which Borrower and AFL were unable to obtain landlord's waivers before the date of the execution of this Agreement. Each landlord's waiver so delivered shall be in form and substance satisfactory to Lender. Borrower shall pay all of its obligations under such leases of real property when due and promptly shall notify Lender of any breach of, or default under, any such lease.
Landlord Consents and Waivers. The Landlord Consents and Waivers, executed and delivered by each lessor of the Real Estate leased by the Borrower or its Subsidiaries, substantially in the form of EXHIBIT B hereto. LOAN DOCUMENTS. Borrower Representative shall use its best efforts to deliver to Agent, within thirty (30) days following the Closing Date (provided that Borrower Representative shall continue to use such efforts beyond such period if requested by Agent) with respect to each lease of premises then in effect, and on or before the date of execution of any lease of premises to any Obligor with respect any lease in effect thereafter, a landlord's waiver (including, upon Agent's request therefor, a consent to a leasehold mortgage) executed by the lessor of each location leased to such Obligor. Without limiting the discretion reserved to Agent under subsection 3.10 hereof, in the event Borrower Representative fails to obtain such waiver with respect to any location within thirty (30) days following the Closing Date, Agent may elect, in its discretion, to exclude Inventory at such location from Eligible Inventory or to establish reserves against the Borrowing Base in respect thereof. Each landlord's waiver so delivered shall be in form and substance reasonably satisfactory to Agent. The Obligors shall pay all of their obligations under such leases of real property when due and promptly shall notify Agent of any breach of, or default under, any such lease.
Landlord Consents and Waivers. Within ninety (90) days after the Effective Date, as a condition subsequent hereunder, the landlords of the Company shall have executed and delivered to the Agent landlord consents and waivers in form and substance satisfactory to the Agent; provided that, anything herein to the contrary notwithstanding, prior to the execution and delivery of such landlord waivers, the Company shall not be entitled to borrow any CAPEX Term Loan, and the Company shall not be entitled to obtain Revolving Loans against Inventory not physically located at locations subject to effective landlord waivers (which Inventory, until such time, shall not be eligible to be included in the borrowing base hereunder or for purposes of determining Availability hereunder).
