Common use of Lannett's Obligation to Indemnify Clause in Contracts

Lannett's Obligation to Indemnify. Lannett agrees to indemnify, defend, and hold harmless ****, its Affiliates and subsidiaries and their respective employees, officers, directors, shareholders, and agents against any and all claims, losses damages and liabilities, including reasonable attorneys' fees and costs and any costs associates with a recall of the Products as defined in Paragraph 3.3 hereof, incurred by any of them arising out of any breach of any obligation hereunder or any representation or warranty by Lannett hereunder or any act or omission of Lannett in connection with its obligations hereunder.
