Common use of Last Accounts Clause in Contracts

Last Accounts. The Last Accounts: 1. have been prepared in accordance with applicable laws and, other than as provided for in the Last Accounts, the IFRS applicable to the Group Company as at the Last Accounts Date; and 2. give a true and fair view of the state of affairs of the Group Company and their assets and liabilities as at the Last Accounts Date and of the results of the Group Company for the financial year ended on that date, in each case, on a combined basis.

Last Accounts. The Last Accounts: 1. have been (a) were prepared in accordance with the requirements of the Companies Ordinance (as applicable) and any other applicable laws and, other than as provided for and in accordance with the Last Accounts, the IFRS applicable to the Group Company as at the Last Accounts DateAccounting Standards; and 2. (b) to the best knowledge of the Seller, give a true and fair view of the state of affairs each of the financial position and the performance of each Group Company and their assets and liabilities as at the Last Accounts Date and of the results of the Group Company Member for the financial year period ended on that date, in each case, on a combined basisthe Last Balance Date.
