Common use of Late Charges Clause in Contracts

Late Charges. Lessee hereby acknowledges that late payment by Lessee of Rent will cause Lessor to incur costs not contemplated by this Lease, the exact amount of which will be extremely difficult to ascertain. Such costs include, but are not limited to, processing and accounting charges, and late charges which may be imposed upon Lessor by any Lender. Accordingly, if any Rent shall not be received by Lessor within 5 days after such amount shall be due, then, without any requirement for notice to Lessee, Lessee shall immediately pay to Lessor a one-time late charge equal to 10% of each such overdue amount or $100, whichever is greater. The parties hereby agree that such late charge represents a fair and reasonable estimate of the costs Lessor will incur by reason of such late payment. Accordingly, if any Rent shall not be received by Lessor Landlord within 5 days after such amount shall be due, then, without any requirement for notice to LesseeTenant, Lessee Tenant shall immediately pay to Lessor Landlord a one-time late charge equal to 10% of each such overdue amount or $100, whichever is greater. The parties hereby agree that such late charge represents a fair and reasonable estimate of the costs Lessor Landlord will incur by reason of such late payment. Acceptance of such late charge by Lessor Landlord shall in no event constitute a waiver of LesseeTenant's Default or Breach with respect to such overdue amount, nor prevent the exercise of any of the other rights and remedies granted hereunder. In the event that a late charge is payable hereunder, whether or not collected, for 3 consecutive installments of Base Rent, then notwithstanding any provision of this Lease to the contrary, Base Rent shall, at LessorLandlord's option, become due and payable quarterly in advance.

Accordingly, if any Rent shall not be received by Lessor within 5 five (5) days after such amount shall be due, then, without any requirement for notice to Lessee, Lessee shall immediately pay to Lessor a one-time late charge equal to 10% six percent (6%) of each such overdue amount or $100, whichever is greateramount. The parties hereby agree that such late charge represents a fair and reasonable estimate of the costs Lessor will incur by reason of such late payment. The parties Parties hereby agree that such late charge represents a fair and reasonable estimate of the costs Lessor will incur by reason of such late paymentpayment by Lessee. In the event that a late charge is payable hereunder, whether or not collected, for 3 three (3) consecutive installments of Base Rent, then notwithstanding Paragraph 4.1 or any other provision of this Lease to the contrary, Base Rent shall, at Lessor's option, become due and payable quarterly in advance.

Lessee Tenant hereby acknowledges that late payment by Lessee Tenant of Rent will cause Lessor Landlord to incur costs not contemplated by this Lease, the exact amount of which will be extremely difficult to ascertain. Such costs include, but are not limited to, processing and accounting charges, and late charges which may be imposed upon Lessor Landlord by any Lender. Accordingly, if any Rent shall not be received by Lessor Landlord within 5 days after such amount shall be due, then, without any requirement for notice to LesseeTenant, Lessee Tenant shall immediately pay to Lessor Landlord a one-time late charge equal to 105% of each such overdue amount or $100, whichever is greater. The parties Parties hereby agree that such late charge represents a fair and reasonable estimate of the costs Lessor Landlord will incur by reason of such late payment. Acceptance of such late charge by Lessor Landlord shall in no event constitute a waiver of LesseeTenant's Default or Breach with respect to such overdue amount, nor prevent the exercise of any of the other rights and remedies granted hereunder. In the event that a late charge is payable hereunder, whether or not collected, for 3 consecutive installments of Base Rent, then notwithstanding any provision of this Lease to the contrary, Base Rent shall, at LessorLandlord's option, become due and payable quarterly in advance.

Such costs include, but are not limited to, processing and accounting charges, and late charges which may be imposed upon Lessor by any LenderAgreement. Accordingly, if any Rent installment of Rent, or any portion thereof, or any other sum due from Concessionaire shall not be received by Lessor the Port within 5 ten (10) days after such amount shall be due, then, without any requirement for notice by the Port to LesseeConcessionaire, Lessee Concessionaire shall immediately pay to Lessor the Port a one-time late charge equal to 10% five percent (5%) of each such overdue amount or $100, whichever unless such late charge is greaterspecifically waived by the Port in writing. The parties hereby agree that such late charge represents a fair and reasonable estimate of the costs Lessor the Port will incur by reason of such late paymentpayment by Concessionaire. Acceptance of such late charge by Lessor the Port shall in no event constitute a waiver of Lessee's Default or Breach Concessionaire’s default with respect to such overdue amount, nor prevent the exercise of Port from exercising any of the other rights and remedies granted hereunder. . 4.6.2 In the event that a late charge is payable hereunderin this Agreement or otherwise, whether or not collected, for 3 consecutive three (3) installments of Base RentRent and/or other remuneration in any 12- month period, then notwithstanding any provision of this Lease to the contrary, Base Rent Minimum Monthly Guarantee and/or other remuneration shall, at Lessor's optionupon the Port’s election, become due and payable quarterly in advance, rather than monthly, notwithstanding Section 4.1.1 or any other provision of this Agreement to the contrary. 4.6.3 In addition to the late charges provided for in this Section, interest shall accrue on any unpaid Rent and/or other remuneration, or any other sums due hereunder, at the Default Rate from the date due until paid.

The Parties acknowledge and agree that should Lessee tender Rent without also tendering any Late Charges then due, Lessee shall continue to be in material default of this Lease.

Acceptance of such late charge by Lessor Landlord shall in no event constitute a waiver of Lessee's Tenant’s Default or Breach with respect to such overdue amount, nor prevent the exercise of any of the other rights and remedies granted hereunder.
