Common use of Lawful Authority Clause in Contracts

Lawful Authority. If any party executing this Agreement is a corporation, the person executing on behalf of the corporation hereby personally represents and warrants to all of the parties that he has been fully authorized to execute and deliver this Agreement on behalf of the corporation, pursuant to a duly adopted resolution of its board of directors or by virtue of its bylaws.

Lawful Authority. If any party executing this Agreement is a corporationan entity, the person executing on behalf of the corporation entity hereby personally represents and warrants warrants, without personal liability, to all of the other parties that he has been fully authorized to execute and deliver this Agreement on behalf of the corporation, pursuant to a duly adopted resolution of its board of directors or by virtue of its bylawsentity.

If any party executing this Agreement is a corporationcorporation or limited liability company, the person individual executing on behalf of the corporation or limited liability company hereby personally represents and warrants to all of the other parties that he he/she has been fully authorized to execute and deliver this Agreement on behalf of (a) the corporation, corporation pursuant to a duly adopted resolution of its board Board of directors Directors, or by virtue of its bylaws; or (b) the limited liability company pursuant to a duly adopted resolution of its members or by virtue of its operating agreement.
