Common use of Laws and Jurisdiction Clause in Contracts

Laws and Jurisdiction. The parties agree that the Contract shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to decide any dispute arising out of or in connection with this Contract, including in relation to any non-contractual obligations. The same applies in case of two or more purchasing entities with registered seats in different countries. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the Contract. Annex A - Specific provisions applicable in case of supply of Products These clauses apply to the extent Supplier supplies Products.
