Common use of Legal Compulsion to Disclose Confidential Information Clause in Contracts

Legal Compulsion to Disclose Confidential Information. If a receiving Party is compelled by law, regulation, or order of a court of competent jurisdiction to disclose any of the disclosing Party’s Confidential Information, the receiving Party shall notify the disclosing Party as soon as possible after the receiving Party becomes aware of its legal obligation to disclose the Confidential Information, so that the disclosing Party may seek a protective order or other appropriate relief. The receiving Party agrees to cooperate, at the disclosing Party’s expense, in seeking such order or other relief. If disclosure is ultimately required, notwithstanding Article 7.2, the receiving Party is allowed to furnish only that portion of the Confidential Information that is legally required, subject to exercising reasonable efforts to obtain assurances that such Confidential Information will be kept confidential.
