Legal Costs and Stamp Duty. 法律費用及印花稅
11.1 The stamp duty and/or its adjudication fee (where applicable) payable on this Agreement and its counterpart shall be borne by the Licensor and the Licensee in equal shares. 本協議及其複本之印花稅及/或裁定費用（如適用）須由許可人和使用人平均分擔。
11.2 Each party shall bear its own legal costs and disbursements incurred in the preparation and completion of this Agreement. 立約方各自承擔其於草擬及簽訂本協議所衍生之法律費用。
Legal Costs and Stamp Duty. Each party shall bear its own costs arising out of the negotiation, preparation and execution of this Agreement. All stamp duty (including fines, penalties and interest) which may be payable on or in connection with this Agreement and any instrument executed under this Agreement shall be borne by the Vendor.
Legal Costs and Stamp Duty. 12.1 The cost of and incidental to the preparation of this Agreement including the stamp duty and transfer fee payable on the transfer and registration of the Sale Shares shall be borne by NHancement. All stamp duty, registration and similar duties, if any, in connection with this Deed, shall be borne by the Lessor and Lessee in equal proportions.
(a) The Lessee shall forthwith upon demand pay, or reimburse the Lessor for:-
(i) all costs and expenses, including (without limitation) legal expenses reasonably and properly incurred and all stamp, registration and similar duties, which the Lessor may incur in connection with any amendment or modification of or addition to this Deed at any time requested by, or on behalf of, the Lessee; and
(ii) the out of pocket cost and expense of the Lessor incurred in the preservation or enforcement of any of the Lessor’s rights under this Deed arising from the Lessee’s default in the performance of any of its obligations under this Deed.

Legal Costs and Stamp Duty. 10.1 Each Party shall be responsible for its own costs and expenses in relation to the negotiation, preparation, execution and implementation of this Agreement and all documents ancillary hereto, save that if this Agreement shall lapse due to the non-satisfaction of any of the Conditions Precedent or of any of the obligations required to be performed by the Purchaser at Completion, the Purchaser shall pay to the Vendors their respective accountancy, legal and other costs and expenses in relation to the preparation and negotiation of this Agreement.
10.2 All stamp duty payable with respect to this Agreement and all instruments executed in connection with or pursuant to this Agreement shall be borne equally; half by the Vendors and half by the Purchaser.
