Legal Entity for HIDE SNP Status. For HIDE SNP status, MAO offered D-SNP PBP(s) covered under this Agreement (H4931-001, -006, -007, and -008) shall meet one of the following criteria: The legal entity holding a contract with CMS for the D-SNP(s) also contracted with the State under this Agreement is under the ownership and control of the same parent organization, Banner Health, Inc., as its companion AHCCCS Complete Care (ACC), ALTCS DD, or RBHA health plan, and is authorized to operate only in the same counties delineated in Section 4 of this Agreement. The MAO’s companion AHCCCS Complete Care (ACC), ALTCS DD, or RBHA health plan is responsible for covering the Medicaid benefits described in Attachment 2: AHCCCS Covered Physical Health Services, and for covering integrated Medicaid behavioral health benefits as described in Attachment 3: AHCCCS Covered Behavioral Health Services of this Agreement, and each of the following, as applicable: • AHCCCS Complete Care (ACC) contract YH19-0001, as amended xxxxx://xxx.xxxxxxxx.xxx/Resources/OversightOfHealthPlans/SolicitationsAn dContracts/contracts.html o Section D, Paragraph 11: Behavioral Health Services Delivery;  ALTCS DD contract YH6-0014, as amended xxxxx://xxx.xxxxxxxx.xxx/Resources/OversightOfHealthPlans/SolicitationsAn dContracts/contracts.html o Section D, Paragraph 10: Behavioral Health Services Delivery; o DD contract, as amended xxxxx://xxx.xx.xxx/page.aspx/en/ctr/contract_manage_public/  Regional Behavioral Health Authority (RBHA) contract YH17-0001, as amended xxxxx://xxx.xxxxxxxx.xxx/Resources/OversightOfHealthPlans/SolicitationsAn dContracts/contracts.html o Section D, Paragraph 11: Behavioral Health Services Delivery.   • Entity Status The Parent and each of the other Credit Parties (i) is a Person duly organized, constituted and validly existing (or the functional equivalent) under the laws of the jurisdiction of its formation, has the capacity to sue and be sued in its own name and the power to own and charge its assets and carry on its business as it is now being conducted and (ii) is duly qualified and is authorized to do business and is in good standing (or the functional equivalent) in each jurisdiction where the ownership, leasing or operation of its property or the conduct of its business requires such qualifications except for failures to be so qualified or authorized or in good standing which, either individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect.

  • Reporting Company Status The Company is a corporation duly organized, validly existing and in good standing under the laws of the State of Nevada, and has the requisite corporate power to own its properties and to carry on its business as now being conducted. The Company is duly qualified as a foreign corporation to do business and is in good standing in each jurisdiction where the nature of the business conducted or property owned by it makes such qualification necessary other than those jurisdictions in which the failure to so qualify would not have a material and adverse effect on the business, operations, properties, prospects or condition (financial or otherwise) of the Company. The Company has registered its Common Stock pursuant to Section 12 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”).

  • Company Status The Company is a corporation duly formed and validly existing under the general laws of the State of Maryland, with all requisite power and authority to enter into this Agreement and to carry out its obligations hereunder.

  • Pay Status An aggrieved employee and the Union Delegate shall be in a pay status during those working hours in which a grievance, a grievance mediation, or an arbitration hearing is held. Release time for additional employee representation shall be subject to approval by the Labor Relations Officer or designee when a group grievance is filed.

  • Partnership Status The parties intend to treat the Partnership as a partnership for U.S. federal income tax purposes.

  • Former Employer Information I agree that I will not, during my employment with the Company, improperly use or disclose any proprietary information or trade secrets of any former or concurrent employer or other person or entity and that I will not bring onto the premises of the Company any unpublished document or proprietary information belonging to any such employer, person or entity unless consented to in writing by such employer, person or entity.

  • Disqualification of Former Employees The Consultant represents that it is familiar with Chapter 12.10 of the City’s Municipal Code, which generally prohibits a former City officer and a former designated employee from providing services to the City connected with his/her former duties or official responsibilities. The Consultant shall not use either directly or indirectly any officer, employee or agent to perform any services if doing so would violate Chapter 12.10. The Consultant’s violation of this Subsection 21.2 is a material breach.

  • Investment Company Status The Company is not, and upon consummation of the sale of the Securities will not be, an “investment company,” an affiliate of an “investment company,” a company controlled by an “investment company” or an “affiliated person” of, or “promoter” or “principal underwriter” for, an “investment company” as such terms are defined in the Investment Company Act of 1940, as amended.

  • Company Formation The Company has been formed as a limited liability company under and pursuant to the Act. The Managers shall file the Certificate and all other such instruments or documents and shall do or cause to be done all such filing, recording, or other acts, as may be necessary or appropriate from time to time to comply with the requirements of law for the formation and/or operation of a limited liability company in the State of Delaware. The Managers may also direct that the Company be registered or qualified to do business in other jurisdictions.

  • Incorporation and Organization The Corporation has been incorporated or formed, as the case may be, is organized and is a valid and subsisting corporation or partnership, as the case may be, under the laws of its jurisdiction of existence and has all requisite corporate power and capacity to carry on its business as now conducted or proposed to be conducted and to own or lease and operate the property and assets thereof.
