Legal Fees of Investor. The Company shall pay to legal counsel for the Investor all legal fees and expenses incurred by the Investor and its advisors, Whitebox Advisors, LLC (“Whitebox Advisors”), in connection with this Agreement, the other Transaction Agreements and the Registration Statement, including but not limited to any and all fees and expenses related to due diligence or other matters relating to or arising out of any of the foregoing.
