Legal Requirement to Disclose. 5.1 If the Recipient or any of the Recipient’s Team is or becomes legally required to disclose any Confidential Material to a government body or court of law, the Recipient agrees, to the extent permissible by law, to give, and will ensure that the Recipient’s Team give, the City sufficient advance notice to enable the City the opportunity to contest the disclosure or obtain a protective order.
Legal Requirement to Disclose. In the event that the Consultant or to the Consultant’s knowledge anyone to whom the Consultant transmits the Confidential Information pursuant to this Agreement becomes legally compelled to disclose any of the Confidential Information, the Consultant will provide the Company with prompt notice, if lawful, so that the Company may seek a protective order or other appropriate remedy or waive compliance with the provisions of this Agreement. If such protective order or other remedy is not obtained, or if the Company waives compliance with the provisions of this Agreement, the Consultant will furnish only that portion of the Confidential Information which the Consultant is advised by its counsel is legally required to be furnished.
Legal Requirement to Disclose. If a Recipient is required by applicable law, regulation or legal process to disclose any of the Confidential Information of the Discloser, the Recipient will notify the Discloser promptly so that the Discloser may seek a protective order or other appropriate remedy or waive compliance with the terms of this Agreement. If no such protective order or other remedy is obtained or the Discloser does not waive compliance with the terms of this Agreement, the Recipient
(a) will furnish only that portion of the Confidential Information of the Discloser which the Recipient is advised by counsel is legally required to be disclosed; and
(b) will exercise all reasonable efforts to obtain reliable assurances that confidential treatment will be accorded such Confidential Information.
Legal Requirement to Disclose. The Lender may in any event disclose information obtained in connection with this Agreement to a third party where such disclosure is required by applicable law or regulation so requires.

In the event that the receiving party becomes legally compelled to disclose any of the disclosing party’s Confidential Information, the receiving party shall provide the disclosing party with prompt notice, if lawful, so that the disclosing party may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement. In the event such protective order or other remedy is not obtained, or the disclosing party waives compliance with the provisions of this Agreement, the receiving party shall furnish only that portion of the disclosing party’s Confidential Information which the receiving party is advised by its counsel is legally required to be furnished, and the receiving party shall use its best efforts to obtain assurances that such Confidential Information shall be treated confidentially by the recipient thereof.

In the event that Recipient or anyone to whom Recipient transmits the Confidential Information of Disclosing Party pursuant to this Agreement becomes legally compelled to disclose any of such Confidential Information, Recipient will provide Disclosing Party with prompt notice, if lawful, so that Disclosing Party may seek a protective order or other appropriate remedy or waive compliance with the provisions of this Agreement. If such protective order or other remedy is not obtained, or if Disclosing Party waives compliance with the provisions of this Agreement, Recipient will furnish only that portion of the Confidential Information of Disclosing Party which Recipient is advised by its counsel is legally required to be furnished.
Legal Requirement to Disclose. ST may disclose Proprietary Items to ----------------------------- other Persons, but only to the extent required under applicable law or by a government order, decree, regulation or rule, provided that ST gives QI reasonable written notice with sufficient opportunity to seek a protective order prior to such disclosure.

(iii) Conduct. The Consultant agrees that she will not, directly or indirectly, individually or in concert with others, engage in any conduct or make any statement calculated or likely to have the effect of undermining, disparaging or otherwise reflecting poorly upon the Company or its affiliates or their goodwill, products or business opportunities, or in any manner detrimental to the Company, its successors and assigns, and its affiliates, their shareholders, officers, directors, or employees, past, present and future. Legal Requirement to Disclose. This agreement will not operate to prevent disclosure by the Receiving Party as required by law, provided that, forthwith upon becoming aware of a risk of being required to make disclosure by law, the Receiving Party will advise the disclosing party of the alleged requirement.
