Notwithstanding Sub clause 9.2, Buyer’s use of certain Software, (as specified by Seller and including but not limited to control system and AMS Software) shall be governed exclusively by the applicable Seller Affiliate or third party licence agreement.
Notwithstanding Sub. Section 2.1, the obligations of the Sublicensee under the Sublicense Agreement are not mitigated or otherwise diminished or negated in any respect.

(1)(a) to (c), if the issuer corporation is a statutory close corporation under ss. 180.1801 to 180.1837, a shareholder of the statutory close corporation may dissent from a corporate action and obtain payment of the fair value of his or her shares, to the extent permitted under sub. (1)(d) or (2) or s. 180.1803, 180.1813(1)(d) or (2)(b), 180.1815(3) or 180.1829(1)(c).
Notwithstanding Sub. Para. (1) above of this Para. b, an exception may be provided if the Contractor demonstrates by convincing evidence, as reasonably determined by XXX, that:
(i) the service provider, supplier of equipment or supplies, property owner, or financing organization (individually and collectively, “Vendor”) is a bona fide separate organization;
(ii) a substantial part of the Vendor’s business activity with Contractor is transacted with third-parties that are not related to the Vendor by common ownership or control and there is an open, competitive market for the type of services, property, equipment, or supplies offered by the Vendor; (iii) the charge to Contractor by the Vendor is in line with the charge for the services, property, equipment, or supplies offered on the open market and is no more than the charge made under comparable circumstances to others by the Vendor for such services, property, equipment, or supplies. In such event, the charge by the Related Party to Contractor for such service, property, equipment, or supplies is allowable at Cost.
Notwithstanding Sub. Article 14.1, First Events may assign its rights and obligations (including the right to receive the Assets) under this Agreement without the prior written consent of VLI, to any member of the First Events Group designated by First Events to accept such rights and obligations; provided, however, that First Events shall guarantee the performance by the assignee.

Notwithstanding Sub. Clause 3.02 (c), a Wage Employee who is expected to have ongoing employment beyond six (6) months, or a Full-‐time Wage Employee who is employed up to six (6) months, will be eligible for Court Leave pursuant to Article 34.

Paragraph 8.1.1 of this Annex B, the present Agreement might be terminated on the following terms – either Party has the right to terminate this Agreement at any time without cause provided the written notification is sent to the other Party 30 days prior to the termination date. После подписания Соглашения все предыдущие письменные и устные соглашения Xxxxxx теряют силу. Расторжение. Несмотря на положения подпункта 8.1.1 настоящего Приложения B, настоящее Соглашение может быть расторгнуто на следующих условиях – любая из Сторон имеет право расторгнуть Соглашение в любое время без указания причин при условии письменного уведомления, направленного другой Стороне за 30 дней до даты расторжения.
Notwithstanding Sub. Section 11.1, the Company shall be entitled to dismiss the Employee and to terminate his employment forthwith (with immediate effect) in the event of Cause or Disability.
