CONSULTANT’S PERSONNEL. Consultant has, or will secure at its own expense, all personnel required to perform the Services required under this Agreement. All of the Services required under this Agreement shall be performed by Consultant or under its supervision, and all personnel engaged in the Services shall be qualified to perform such Services. Consultant shall make every reasonable effort to maintain the stability and continuity of Consultant’s staff and sub-contractors, if any, assigned to perform the Services required under this Agreement. Consultant shall notify City of all changes in Consultant’s staff and sub-contractors, if any, assigned to perform the Services required under this Agreement, prior to and during any such performance. In the event that City, in its sole discretion, at any time during the term of this Agreement, desires to reassign any staff or sub-contractor of Consultant, City shall give notice as set forth in Section 8.1. Consultant shall, immediately upon the receipt of the notice to re-assign staff from City, reassign such person or persons.

CONSULTANT’S PERSONNEL a. The Consultant acknowledges that it and the Consultant’s Personnel have no authority to create or incur any liability or obligation on behalf of TMEA, including but not limited to any liability or obligation to expend or incur capital expenditure and not to recruit, employ or dismiss any member of staff employed by TMEA. b. The Consultant shall not at any time, either personally or by an agent, directly or indirectly represent itself as being in any way connected with or interested in TMEA save as being engaged to perform the Services. c. Save for the Services agreed and set out at Xxxxxxx 0, XXXX is under no obligation to offer work to the Consultant and the Consultant is under no obligation to accept any work, which may be offered by TMEA. d. No changes or substitutions may be made to members of the Consultant’s Personnel identified in Section 4, if any, of this Contract without TMEA’s prior written consent. e. If TMEA considers any member of the Consultant’s Personnel unsuitable, the Consultant shall substitute such member as quickly as reasonably possible without direct or indirect charge to TMEA with a replacement acceptable to TMEA. f. The Consultant is responsible for all acts and omissions of the Consultant’s Personnel and for the health, safety and security of such persons and their property. g. CONSULTANT’S PERSONNEL. The Consultant shall designate in writing to the Authority one individual, satisfactory to the Authority, who shall be responsible for coordinating all of the services to be rendered by the Consultant and who shall be the Authority's normal point of contact with the Consultant on matters relating to such services. Such individual shall be replaced upon the Authority's written request. The designee shall not be replaced by the Consultant without the Authority's prior written consent.

Consultant may revise its staffing schedule only after obtaining the prior written approval of the Director. CONSULTANT’S PERSONNEL. All personnel assigned by the Consultant to the Project shall be required to cooperate fully with personnel assigned by the University to the Project, and, in the event the Consultant's personnel fail to so cooperate, they, on request of the University, shall be relieved of their duties in connection with the Project.

CONSULTANT’S PERSONNEL. 10.1 The Services shall be carried out by the personnel specified in Annex E hereof ("Consultant's Personnel"). 10.2 Consultant shall at all times retain full responsibility for the due performance of its obligations hereunder and for the satisfactory completion of the Services. 10.3 Consultant shall supervise all services provided by Consultant’s Personnel and shall provide Consultant’s Personnel any assistance required by Consultant’s Personnel and/or ISR so that Consultant’s Personnel shall be able to fully provide Consultant’s Personnel Services. Without derogating from the above, Consultant shall at all times retain full responsibility for the due performance of its obligations by the Consultant’s Personnel and for the satisfactory completion of the Services and shall be liable for any act and/or omission of any of the Consultant’s Personnel not in accordance with the terms of this Agreement. 10.4 Consultant hereby declares and warrants that all Consultant’s Personnel are and shall be at all times qualified and skilled employees. 10.5 Without derogating from above, Consultant shall be solely responsible to obtain any permits and authorizations required under Applicable Law with respect to Consultant’s Personnel, including but without limitation, work permits for foreign personnel (including but without limitation permits by the immigration authorities) and security clearances as may be required by ISR. The above shall apply to permits to work on Shabbat and Jewish and Israeli national holidays pursuant to the Hours of Services and Rest Law, 5711–1951. 10.6 For the removal of doubt, in the event that such permits or any of them shall not be obtained: (i) Consultant shall not be entitled to any delay in the Services, and (ii) Consultant shall not be released from any of its obligations, and shall employ for this purpose, subject to Applicable Law, works and/or Services for which such permits are not required. Consultant is aware that receiving such permits may take some time and shall perform all activities to ensure that permits shall be granted on time. 10.7 In any case in which ISR shall demand, at its sole discretion, the replacement of the Consultant’s Personnel, the Consultant undertakes to take immediate action to replace Consultant’s Personnel (as applicable) with any other person holding a position whose identity is approved by ISR, and for such purposes, the Consultant undertakes to present ISR with at least two options for manager / member (a...
CONSULTANT’S PERSONNEL. 9.1 The Services shall be carried out by the personnel specified in Annex C 9.2 Consultant shall at all times retain full responsibility for the due performance of its obligations hereunder and for the satisfactory completion of the Services. 9.3 Except as ISR may otherwise agree, no changes shall be made with respect to the Key Personnel specified in Annex C in relation to a specific Work Package. If, for any reason beyond the reasonable control of the Consultant, it becomes necessary to replace the Consultant Personnel or to add ones, the Consultant shall provide, as a replacement, a person of equivalent or better qualifications. 9.4 If ISR determines that (i) any of the personnel performing the Services have committed serious misconduct or have been charged with having committed a criminal action, (including but not limited to any national security offense); or

The Consultant will employ and assign qualified Personnel to the District’s account in a sufficient number in order to provide and successfully complete the services in accordance to the Term under Paragraph 2. The Consultant will provide the District with a continuously updated list of all its Personnel assigned to the District and qualifications of such Personnel will be provided without charge to the District within three (3) days of written request.
