Legal, valid binding and enforceable obligations
Legal, valid. Binding and Enforceable Obligations The obligations of the Originator under each Transaction Document are legal, valid, binding and enforceable under the laws of Hungary.
Legal, valid binding and enforceable: this Agreement constitutes and, upon due execution by or on behalf of the Issuer, the Issue Documents will constitute and upon due execution of the Note Certificates by or on behalf of the Issuer and due authentication of the Note Certificates, the Notes will constitute legal, valid, binding and enforceable obligations of the Issuer subject to the laws of insolvency and other laws affecting the rights of creditors generally;
Legal, valid binding and enforceable:
(a) this Agreement, the Agency Agreement and the Trust Deed constitute legal, valid, binding and enforceable obligations of the Issuer and the Guarantor (to the extent to which they are respectively parties thereto) subject, in the case of enforceability, to any relevant reservations expressed in the relevant legal opinions referred to in Clause 8.3.1
(a) (Legal Opinions) of this Agreement; and
(b) upon due execution by or on behalf of the Issuer and due authentication and delivery, the Notes will constitute legal, valid, binding and enforceable obligations of the Issuer subject, in the case of enforceability, to any relevant reservations expressed in the relevant legal opinions referred to in Clause 8.3.1(a) (Legal opinions) of this Agreement;
Legal, valid binding and enforceable:
(a) the Agency Letters and the Agency Agreement constitute legal, valid, binding and enforceable obligations of the Issuer:
(b) upon due execution by or on behalf of the Issuer, the Issuing and Paying Agency Agreement (other than the Agency Letters and the Agency Agreement) will constitute legal, valid, binding and enforceable obligations of the Issuer;
(c) the Deed of Covenant constitutes legal, valid, binding and enforceable obligations of the Issuer;
(d) upon due execution by or on behalf of the Issuer, each Relevant Agreement will constitute legal, valid, binding and enforceable obligations of the Issuer; and
(e) upon due execution by or on behalf of the Issuer and due authentication and delivery, the Notes will constitute legal, valid, binding and enforceable obligations of the Issuer;
Legal, valid. Binding and Enforceable (Company)
(i) This Agreement has been duly authorised, executed and delivered by the Company and constitutes, and (ii) the other Issue Documents to which it is a party have been duly authorised by the Company, and upon due execution and delivery by or on behalf of the Company, will constitute, valid, legally binding and enforceable obligations of the Company, except that such enforceability may be limited under applicable bankruptcy or insolvency laws or similar laws affecting the rights of creditors generally and general principles of equity.
Legal, valid. Binding and Enforceable (Issuer)
(i) This Agreement has been duly authorised, executed and delivered by the Issuer and constitutes, (ii) the other Issue Documents to which it is a party have been duly authorised by the Issuer, and upon due execution and delivery by or on behalf of the Issuer, will constitute, and (iii) upon due execution of the Note Certificates by or on behalf of the Issuer and due authentication and delivery of the Note Certificates in accordance with the Trust Deed and Agency Agreement, the Notes will constitute, valid, legally binding and enforceable obligations of the Issuer, except that such enforceability may be limited under applicable bankruptcy or insolvency laws or similar laws affecting the rights of creditors generally and general principles of equity.
Legal, valid. Binding and Enforceable Each of the Loan Documents to which the Mortgagor is a party constitutes the legal, valid and binding obligation of the Mortgagor, enforceable against the Mortgagor in accordance with its terms.
Legal, valid. Binding and Enforceable. An opinion in respect of each party to the Transaction Documents that each Transaction Document to which it is a party has been duly authorized, executed and delivered and constitutes valid and legally binding obligations of each party enforceable in accordance with its terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar laws of general applicability relating to or affecting creditors' rights and to general equity principles.
Legal, valid binding and enforceable: this Agreement, the Agency Agreement and the Trust Deed constitute legal, valid, binding and enforceable obligations of the Issuer and:
(a) upon due execution by or on behalf of the Issuer, each Relevant Agreement will constitute legal, valid, binding and enforceable obligations of the Issuer; and
(b) upon due execution by or on behalf of the Issuer and due authentication and delivery, the Notes will constitute legal, valid, binding and enforceable obligations of the Issuer;
