Legally Available Funds. All payments under this Agreement are subject to the Office’s receipt of sufficient funds. Any termination, reduction or delay of state funds to the Office shall, at the Office’s sole discretion, result in the termination, reduction, or delay of State funds to Grantee.
Legally Available Funds. For purposes of this Section 12.1, funds shall not be "legally available" for the payment of dividends or the redemption price with respect to any share of RP if the Trust is insolvent at the time such payment would be made or to the extent that such payment cannot be made without rendering the Trust insolvent.
Legally Available Funds. Without limiting the rights of any Holder (including pursuant to Section 6), if the Company does not have sufficient funds legally available to fully pay any cash amount otherwise due on the Convertible Preferred Stock, then the Company will pay the deficiency promptly after funds thereafter become legally available therefor.

If, at the time the Company is obligated or elects to purchase Shares from any Shareholder hereunder, the Company does not have funds legally available for the purchase of those Shares, then (a) the Company shall purchase that number of Shares which it legally may purchase, and (b) the Company shall remain obligated to purchase any remaining Shares at such time or times as it has funds legally available for such purpose.
Legally Available Funds. No Preferred Units may be redeemed except with funds legally available for the payment of the Redemption Price.
Legally Available Funds funds that the governing body of Agency obtains by Legislative appropriation or are otherwise legally available for the purpose of making Payments under this Agreement

Legally Available Funds. The Corporation has sufficient funds legally available to consummate the Repurchase in accordance with Section 160_of the Delaware General Corporation Law.
Legally Available Funds. It is understood and agreed that all payment obligations of CRDA hereunder, including the obligation to pay the Investment Refund Payment, are subject to and payable only from Legally Available Funds. CRDA shall use commercially reasonable efforts to ensure Legally Available Funds are available to meet its payment obligations hereunder. ARTICLE IV
Legally Available Funds. The Corporation's repurchase of any ----------------------- Shares under this Agreement shall be subject to funds being legally available for such purpose. The parties hereto agree to cause the Corporation to take any legally permissible action necessary to effectuate any repurchase of Shares hereunder, including without limitation the reallocation of its stated capital and surplus accounts.
