Lender Elections. Each Lender shall notify the Administrative Agent within such time period whether or not it agrees to participate in such Incremental Facility, and, if so, in what amount. Any Lender not responding within such time period shall be deemed to have declined to participate in such Incremental Facility. No existing Lender shall be required to participate in any such Incremental Facility.
Lender Elections. Each Term Lender shall notify the Agent within the time period described in Section 2.19(a) whether or not it agrees to make an Incremental Term Loan Commitment on the terms requested and, if so, in what amount. Any Term Lender not responding within such time period shall be deemed to have declined to participate, and no Term Lender shall have any obligation to participate.
Lender Elections. Each Lender shall notify the Administrative Agent within such time period whether or not it agrees to provide a portion of the Incremental Term Facility and/or Incremental Revolving Commitments and, if so, whether by an amount equal to, greater than, or less than its Pro Rata Share of such requested Incremental Term Facility and/or Incremental Revolving Commitments. Any Lender not responding within such time period shall be deemed to have declined to provide a portion of the Incremental Term Facility and/or Incremental Revolving Commitments, as applicable. Each prospective lender shall notify the Administrative Agent within such time period whether or not it agrees to fund any portion of the requested Incremental Term Facility or Incremental Revolving Commitments and, if so, by what amount. Any prospective lender not responding within such time period shall be deemed to have declined to fund any portion of the Incremental Term Facility or Incremental Revolving Commitments, as applicable.
Lender Elections. Each Lender shall notify the Agent within the time period described in Section 2.18(c) whether or not it agrees to increase its Commitment and, if so, whether by an amount equal to, greater than, or less than its Commitment Percentage of such Commitment Increase Request. Any Lender not responding within such time period shall be deemed to have declined to increase its Commitment. No Lender shall have any obligation to increase its Commitment.
Lender Elections. Each Lender shall notify the Administrative Agent within such time period whether or not it agrees to (x) increase its Commitment in the applicable Facility or (y) provide new Commitments in respect of any Facility or tranche and, if so, whether by an amount equal to, greater than, or less than its Applicable Percentage of such requested increase in Total Credit Exposure. Any Lender not responding within such time period shall be deemed to have declined to increase its (or to provide a new) Commitment in the applicable Facility or tranche.
Lender Elections. Each applicable Lender shall notify the Administrative Agent within the time period specified in Section 2.16(a) whether or not it agrees to participate in the requested Incremental Facility and, if so, whether by an amount equal to, greater than, or less than the portion of the Incremental Facility offered to it. Any Lender not responding within such time period shall be deemed to have declined to participate in the Incremental Facility. Neither the Arrangers, the Bookrunners nor the Administrative Agent shall have any responsibility for arranging any such Incremental Facility without their prior written consent, and no Lender shall be required to make term loans under the Incremental Facility to facilitate such Incremental Facility.
Lender Elections. Each Lender shall notify the Administrative Agent within such time period whether or not it agrees to commit to any requested increase in the Facilities and, if so, whether by an amount equal to, greater than, or less than the amount which corresponds to such Lender’s Aggregate Facility Pro Rata Share of such requested increase; provided, that, as noted above, any increase in a Lender’s Aggregate Facility Pro Rata Share with respect to the Facilities shall be subject to the terms of Section 2.01(d)). Any Revolving Credit Lender not responding within such time period shall be deemed to have declined to make any additional commitment or funding of the Facilities at such time.

Each Lender shall notify the Administrative Agent within the time period specified in Section 2.14(a) whether or not it agrees to provide any Incremental Loan Commitment (which decision shall be made in the sole discretion of each Lender) and, if so, whether by an amount equal to, greater than, or less than its Applicable Percentage of such requested Incremental Loan Commitments. Any Lender not responding within such time period shall be deemed to have declined to provide any of the requested Incremental Loan Commitments. Each prospective lender shall notify the Administrative Agent within such time period whether or not it agrees to provide any portion of the requested Incremental Loan Commitments and, if so, in what amount. Any prospective lender not responding within such time period shall be deemed to have declined to provide any portion of the requested Incremental Loan Commitments.
Lender Elections. Each Revolving Lender shall notify the Administrative Agent within such time period whether or not it agrees to increase its Revolving Commitment and, if so, whether by an amount equal to, greater than, or less than its Applicable Revolving Percentage of such requested increase. Each Term B Lender shall notify the Administrative Agent within such time period whether or not it agrees to provide an Incremental Term Loan, and, if so, in what amount. Any Lender not responding within such time period shall be deemed to have declined to increase its Revolving Commitment or provide an Incremental Term Loan.
Lender Elections. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten (10) Business Days from the date of delivery of such notice to the Lenders). Each Lender shall notify the Administrative Agent within such time period whether it agrees to participate in such Incremental Facility and, if so, whether by an amount equal to, greater than, or less than its Applicable Percentage of such Incremental Facility. Any Lender not responding within such time period shall be deemed to have declined to participate in such Incremental Facility. No Lenders shall be under any obligation to agree to participate in any Incremental Facility pursuant to this Section 2.16 and the decision of each Lender whether to participate in any Incremental Facility pursuant to this Section 2.16 shall be in such Xxxxxx’s sole and absolute discretion. 13813663v6
