Common use of Lessee Liability Clause in Contracts

Lessee Liability. Except as otherwise provided in this Lease, and the extent permitted by law, Lessee assumes all risks of loss or damage to property and injury or death to persons by reason of, or incident to, the possession and/or use of the Leased Premises by the Lessee, the Lessee’s officers, agents, servants, employees, or others (excluding those employees or agents of the Government who are on the Leased Premises for the purpose of performing official duties) who may be on the Leased Premises at their invitation or the invitation of any one of them (the “Lessee Parties”), or the activities conducted by or on behalf of the Lessee Parties under this Lease. The Lessee expressly waives all claims against the Government for any such loss, damage, bodily injury, or death caused by, or occurring as a consequence of, such possession and/or use of the Leased Premises by the Lessee Parties, or the conduct of activities or the performance of responsibilities under this Lease. Upon the request of the Government, Lessee agrees to request the execution of hold harmless agreements from the Lessee’s employees, students, contractors, vendors, officers, agents, servants, or other invitees, known by Lessee to be and remain in attendance on the Leased Premises for the entire period of daily school operations; this does not include persons or entities who may be on the Leased Premises for periods of less than the entire period of daily school operations. Such agreements will be provided by the Government for Lessee’s use. If upon request of the Government to obtain such agreements and upon request of Lessee to execute such agreements, any individual refuses to execute such agreement, the Government will not hold Lessee in violation of the terms of this Lease, nor, because of such refusal alone, deny the person or entity access to the Installation or Leased Premises; however, the Lessee will notify the Government of the persons and/or entities refusing to sign the agreements. Nothing herein shall require Lessee to coerce or encourage parties to execute these agreements.

Upon The Lessee further agrees, to the request of extent permitted by Applicable Laws, to indemnify, save, and hold harmless the Government, Lessee agrees to request the execution of hold harmless agreements from the Lessee’s employees, students, contractors, vendors, its officers, agents, servantsand employees, from and against all suits, claims, demands or actions, liabilities, judgments, costs, and attorneys’ fees arising out of, claimed on account of, or other inviteesin any manner predicated upon. bodily injury, known by Lessee to be and remain in attendance on death, or property damage resulting from, related to, caused by, or arising out of the possession and/or use of any portion of the Leased Premises for the entire period of daily school operations; this does not include persons Premises, or entities who may be any activities conducted or services furnished by or on the Leased Premises for periods of less than the entire period of daily school operations. Such agreements will be provided by the Government for Lessee’s use. If upon request behalf of the Government Lessee Parties in connection with, or pursuant, to obtain such agreements and upon request of Lessee to execute such agreements, any individual refuses to execute such agreement, the Government will not hold Lessee in violation of the terms of this Lease, norand all claims for damages against the Government arising out of, because of such refusal alone, deny the person or entity access to the Installation or Leased Premises; howeverrelated to, the Lease. The agreements of Lessee will notify contained in this Paragraph 30.2 do not extend to claims caused by the Government gross negligence or willful misconduct of officers, agents, contractors, or employees of the persons and/or entities refusing to sign United States without contributory fault on the agreementspart of any other person, firm, or corporation. Nothing herein shall require The Government will give the Lessee to coerce or encourage parties to execute these agreementsnotice of any claim against it covered by this indemnity as soon as practicable after learning of it.
