Common use of Lessee Officer and Employee Limitation Clause in Contracts

Lessee Officer and Employee Limitation. Anything contained in this Lease to the contrary notwithstanding, none of the officers or employees of Lessee or any entity in which Lessee has a direct or indirect ownership interest (a “Lessee-Owned Entity”) shall be officers or employees of a Manager (or any Person who operates or manages the Leased Property) or any entity in which the Manager (or such Person) has a direct or indirect ownership interest (a “Manager-Owned Entity”). In addition, if a Person serves as both (a) a director of Lessee or any Lessee-Owned Entity and (b) a director and officer (or employee) of Manager (or any Person who operates or manages the Leased Property) or any Manager-Owned Entity, that Person shall not receive any compensation for servicing as a director of Lessee or any Lessee-Owned Entity. If a person serves as both (a) a director of Manager (or any Person who operates or manages the Leased Property) or any Manager-Owned Entity and (b) a director and officer (or employee ) of Lessee or any Lessee-Owned Entity, that Person shall not receive any compensation for serving as a director of Manager or any Manager-Owned Entity.
