Liabilities and Compensation for Default. 9.1 In the event that Party B is in breach of any of the stipulations under this Agreement, or fails to perform, fully performs or delays in performing any obligation under this Agreement, it shall constitute a breach of this Agreement by Party B. Party A shall have the right to request Party B to rectify or take remedial actions. If Party B fails to rectify or take remedial actions within ten (10) days after Party A sends a written notice to Party B and puts forward the correction request (or such other reasonable period as shall be required by Party A), Party A shall have the right to (1) terminate this Agreement at its own discretion and require Party B to pay all damages; or (2) require compulsory performance of Party B's obligations under this Agreement and require Party B to pay all damages. This Article does not prejudice any other rights of Party A under this Agreement.

For its services under this Agreement, Portfolio Manager shall be entitled to receive a fee, which fee shall be payable monthly in arrears at the annual rate of 0.45% of the average daily net assets of the Account.
