Liabilities for Direct and Indirect Losses. 5.11.1 The direct losses for which a Party may be liable to the other Party under or in connection with this Agreement shall include: any reasonable and actual operational and/or administrative costs and expenses arising from the Default, including costs relating to the time spent by the innocent Party’s management and employees in dealing with the consequences of the Default; and any reasonable and actual costs and expenses incurred by the innocent Party in rectifying a Default of the other Party or a Sub-contractor and in procuring new or replacement Services for the remainder of the Term of this Agreement.
