Independence of Contractor Clause Samples

The Independence of Contractor clause establishes that the contractor operates as an independent entity and not as an employee, agent, or representative of the hiring party. In practice, this means the contractor is responsible for their own work methods, taxes, and benefits, and is not subject to the same controls or obligations as employees. Independence of Contractor. The Contractor agrees that neither the Contractor, nor the Contractor's agents or representatives, shall have any right to control or direct the details, manners or means by which Consultant performs the services contemplated hereunder.
Independence of Contractor. 6.3.1 Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the Parties, constitute any Party the agent of another Party, or authorise any Party to make or enter into any commitments for or on behalf of any other Party. 6.3.2 Each Party confirms it is acting on its own behalf and not for the benefit of any other person.
Independence of Contractor. Contractor is an independent contractor and, unless authorized by Canadian Natural in writing, shall not hold itself out as Canadian Natural’s agent or representative.
Independence of Contractor. The Contractor certifies that, as required by generally accepted attestation standards, it and its principals and employees are independent in all matters regarding this engagement. The Contractor shall neither arrange for nor accept other work with the Entity that could in any way impair the Contractor's compliance with professional independence standards. If required by the State, the Contractor shall provide documentation that independence has been maintained in both mind and appearance as required by professional standards.
Independence of Contractor. 4.1.1 Contractor shall manage, control and direct the Work as an independent contractor and shall perform all obligations and duties under the Agreement at its own cost, risk and responsibility, including with respect to construction means, methods, techniques, sequences and procedures, in due compliance with the Contract Schedule and with the provisions of the Agreement. 4.1.2 Subject to the limitations provided for in the Agreement, Contractor's failure to perform any obligations under the Agreement shall be at its sole cost and risk. Omissions or actions of Contractor Group, Canadian Natural Group or of any inspecting authorities or certifying agencies, including any comments or absence thereof, presence or absence of representatives at any time including during tests and inspections, issuance of certificates other than the Final Acceptance Certificate (subject to surviving obligations), payment, review or the provision by Canadian Natural of (i) any Approval or (ii) comments, instructions or notices to be responded to shall not release Contractor in any way from any of its obligations and liabilities under the Agreement or at law, shall not constitute acceptance of defective Work, nor shall it constitute any assumption by Canadian Natural of any responsibility for any such obligations or liabilities. It is expressly understood that Canadian Natural is at all times relying upon Contractor's skill, knowledge and experience in performing the Work. 4.1.3 Subject to the limitations provided for in the Agreement, Contractor shall remain solely responsible and liable for compliance with the Agreement by Contractor Group and Canadian Natural's rights and interests shall not be affected, limited or reduced in any way howsoever due to the performance of the Work by any member of Contractor Group. 4.1.4 Contractor shall not represent Canadian Natural or act for or on behalf of Canadian Natural or in Canadian Natural's name except as specifically set forth in the Agreement. No Personnel of Contractor Group shall be, or be deemed in any way to be, Personnel of Canadian Natural.
Independence of Contractor. Nothing herein contained nor the relationship of Contractor to City, which relationship is expressly declared to be that of an independent contractor, shall make or be construed to make Contractor or any of Contractor’s agents or employees, the agents or employees of the City. Contractor shall be solely and entirely responsible for its acts and the acts of its agents, employees and subcontractors.
Independence of Contractor. The Company agrees that neither the Company, nor the Company's agents or representatives, shall have any right to control or direct the details, manners or means by which Consultant performs the services contemplated hereunder.

  • Independence of Covenants All covenants hereunder shall be given independent effect so that if a particular action or condition is not permitted by any of such covenants, the fact that it would be permitted by an exception to, or would otherwise be within the limitations of, another covenant shall not avoid the occurrence of a Default or an Event of Default if such action is taken or condition exists.

  • Independence of the Parties Nothing herein shall be construed to modify, abridge, or deny the authority or discretion of any Party to independently develop, administer, or control transportation projects pursuant to enumerated authority or funding sources separate from those in this Agreement.

  • Independence of Parties The Servicer shall have the status of, and act as, an independent contractor. Nothing herein contained shall be construed to create a partnership or joint venture or any similar relationship between the Manager and the Servicer.

  • Independence of the Servicer For all purposes of this Agreement, the Servicer shall be an independent contractor and shall not be subject to the supervision of the Issuer, the Trust Collateral Agent, the Trustee or the Owner Trustee with respect to the manner in which it accomplishes the performance of its obligations hereunder. Unless expressly authorized by this Agreement or any other Basic Document, the Servicer shall have no authority to act for or represent the Issuer or the Owner Trustee in any way and shall not otherwise be deemed an agent of the Issuer or the Owner Trustee.

  • Independence of Administrator For all purposes of this Agreement, the Administrator shall be an independent contractor and shall not be subject to the supervision of the Issuer or the Owner Trustee with respect to the manner in which it accomplishes the performance of its obligations hereunder. Unless expressly authorized by the Issuer, the Administrator shall have no authority to act for or represent the Issuer or the Owner Trustee in any way and shall not otherwise be deemed an agent of the Issuer or the Owner Trustee.
