Liability if Conditions Precedent are Not Fulfilled or Waived. If the Conditions Precedent are not fulfilled by the Seller or waived on or before the Long Stop Date, irrespective of whether the Purchaser has obtained all or any of the approvals/licenses as are set out in Schedule 5 required by the Purchaser to operate the Business, all rights and obligations of each Party under this Agreement (except under Clause 17 (Confidentiality), Clause 18 (Governing Law), Clause 19 (Dispute Settlement), Clause 20 (Notice) and Clause 21 (Miscellaneous)) shall terminate and neither Party shall have any claim against the other, but without prejudice to the accrued rights and obligations of the Parties before that termination.
