Common use of Liability Insurance Clause in Contracts

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, the Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

To the extent the Company Corporation maintains an insurance policy or policies providing directors' and ’ or officers' ’ liability insurance, Indemnitee shall be covered by such that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available provided under that policy or those policies in effect for any Company director other Director or officerOfficer of the Corporation, as the case may be.

Notwithstanding the foregoing, the Company director shall have no obligation to obtain or officermaintain such insurance.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director non-employee director, if Indemnitee is a non-employee director, or for any Company officer, if Indemnitee is a Company officer, as the case may be.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer and to the fullest extent permitted by Swiss law.

To the extent the Company maintains an insurance policy or policies providing directors' and ’ or officers' ’ liability insurance, Indemnitee Indemnitee, if a director of the Company, shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

To Except as otherwise agreed to by the Company in a written agreement with Indemnitee or for the benefit of Indemnitee, to the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

The Company director will not be required to create a trust fund, grant a security interest, obtain a letter of credit, or officeruse other means to ensure the payment of such amounts as may be necessary to satisfy its obligations to indemnify and advance expenses pursuant to this Agreement.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available thereunder for any Company director or officer; provided that, for any person that is no longer serving as director or officer of the Company or of any other enterprise at the Company’s request, such coverage shall only be provided to the extent that it is generally available to the Company in the insurance marketplace.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available provided under such policy or policies in effect for any other Company director or officer.

The availability of such insurance coverage, however, shall not exclude indemnification hereunder.

To the extent the Company or a Covered Entity maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer in his (or her) then capacity as such; provided, however, this Agreement shall not impose any obligation on the Company or a Covered Entity to obtain or maintain any such insurance policy or policies.

To the extent the Company maintains an liability insurance policy applicable to directors, officers, employees, control persons, fiduciaries or policies providing directors' other agents and officers' liability insuranceaffiliates, each Indemnitee shall be covered by such policy or policies, policies in accordance with its or their terms, such a manner as to provide to the maximum extent Indemnitee the same rights and benefits as are accorded to the most favorably insured of the coverage available for any Company director Company’s directors, officers, employees, controlling persons, fiduciaries or officerother agents or affiliates.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' directors and officers' officers liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee the Indemnitee, if an officer or director of the Company, shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer of the Company.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, the Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director the directors or officerofficers of the Company.

(a) To the extent the Company maintains an insurance policy or policies providing directors' and liability insurance for any of its directors or officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer during the Indemnitee’s tenure as a director or officer and, following a termination of Indemnitee’s service in connection with a Change in Control, for a period of six (6) years thereafter.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerthe Company’s directors and officers.

To the extent the Company Corporation maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company Corporation director or officer.

To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall will be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.
