LIABILITY THRESHOLD AND CAP. Purchaser covenants with Sellers and OII that it shall not make any claim against Sellers or OII (nor shall Sellers or OII be liable to Purchaser for any claim) pursuant to Section 8.1 until the aggregate amount of any such claimed losses, liabilities, damages, costs and expenses exceeds $50,000 (the "Threshold"); provided, however, Sellers and OII shall be liable with respect to all claims, losses, damages, costs and expenses relating to payroll and other employee related taxes and workers compensation claims prior to the Effective Date without giving effect to the Threshold. Thereafter, Purchaser and TeamStaff may claim for losses, liabilities, damages, costs and expenses up to an aggregate amount equal to the Purchase Price. Solely with respect to claims for indemnification by TeamStaff resulting from: (i) commencement by third parties of judicial proceedings; (ii) administrative or governmental proceedings; (iii) notices of assessment received by TeamStaff for failure to pay taxes; or (iv) notices received by TeamStaff from any governmental or regulatory agency alleging failure to pay workers compensation, TeamStaff shall have the right to withhold or offset all Earnout Payments in an amount equal to any claim for liability hereunder.

  • Liability Limitations The following limitations on liabilities shall apply:

  • Damage Limitation IN NO EVENT SHALL THE COMPANY BE LIABLE TO THE SUBSCRIBER FOR ANY LOST PROFITS OR SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, EVEN IF INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING SHALL BE INTERPRETED AND HAVE EFFECT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RULE OR REGULATION.

  • Liability Limits Notwithstanding anything to the contrary set forth herein:

  • Warranty Limitations The warranties in Sections 6.1.1 and -------------------- 6.1.2 shall not apply to FreeStyle Products that have been modified or altered in any manner by anyone other than by or on behalf of TheraSense, or to defects caused (i) through no fault of TheraSense during shipment to or from Nipro; (ii) by the use or operation in an application or environment other than that intended or recommended by TheraSense; (iii) by service by anyone other than employees of, or persons approved in writing by, TheraSense; (iv) by accident, negligence, misuse, other than normal electrical stress, or other causes other than normal use; or (v) by storage, usage or handling in any manner inconsistent with the FreeStyle Products label provided by TheraSense. Replacement FreeStyle Products supplied under this warranty shall carry only the unexpired portion of the original warranty. TheraSense shall not be liable for misbranding with respect to any product labeling or package insert text provided or used by Nipro, or any translation thereof and TheraSense shall not be liable for any adulteration or failure to meet the Product Specifications due to handling or packaging of the FreeStyle Products by Nipro, its Affiliates, its Subdistributors or agents.

  • Par Value Limitations Before taking any action that would cause an adjustment reducing the Purchase Price below one one-hundredth of the then par value, if any, of the Preferred Shares or other shares of capital stock issuable upon exercise of the Rights, the Company shall take any corporate action which may, in the opinion of its counsel, be necessary in order that the Company may validly and legally issue fully paid and nonassessable Preferred Shares or other such shares at such adjusted Purchase Price.

  • Contractual Liability Liability for payments under the Plan shall be the responsibility of the:

  • Total Liabilities to Tangible Net Worth Ratio Maintain a ratio of total liabilities to Tangible Net Worth of less than .80 to 1.0 as of the end of each fiscal quarter.
