Common use of Liability to Third Parties Clause in Contracts

Liability to Third Parties. Except as otherwise expressly provided by the LLC Act, neither the Member nor any Special Member nor any Manager shall be liable personally for the debts, obligations or liabilities of the Company (whether arising in contract, tort or otherwise), including, without limitation, any debts, obligations or liabilities of the Company arising under a judgment, decree or order of a court, solely by reason of such Person being the Member, or a Special Member or Manager of the Company.

Liability to Third Parties.
