Licence to use. If the Services involve the use of any materials or content created by third parties in relation to which it is not economic or possible for the Consultant to provide the assignment under clause 14.1.3., the Consultant must: provide MLA with an estimate for the cost of procuring the rights to use the relevant materials or content and obtain MLA’s written consent before incurring any such costs; obtain all necessary approvals, permits, licences and authorisations for MLA to use the relevant materials or content; conduct reasonable due diligence, and where necessary obtain reasonable warranties, regarding the third party’s right to license any Intellectual Property Rights subsisting in the relevant materials or content; and clearly identify the relevant materials or content in the Statement of Work and advise MLA of any use limitations prior to providing it to MLA.

This licence includes use by Press Loft of the Client's trade name and any of the Client's trade marks which relate to the Client Content, and includes use by Press Loft of the Client Content, trade names and trade marks for the promotion of its own services for the duration of the Agreement between Press Loft and the Client. The Client also acknowledges that Registered Users will be accessing the Client Content and thus grants to Registered Users an irrevocable, perpetual non-exclusive licence to enjoy the Client Content in accordance with the services provided to them by Press Loft. This clause applies only for the duration of the Agreement.
