Licence within the Projects. Upon requesting consent to incorporate any Pre-Existing Intellectual Property Right of the University into the Results or Deliverables, the University shall identify in the RPS an anticipated royalty rate or amount for ZF to receive a worldwide, non-exclusive, unlimited license for the commercial use of such Pre-Existing Intellectual Property Right. ZF has the right to reject such anticipated royalty and/or reject the incorporation of such Pre-Existing Intellectual Property Right of the University into the Results or Deliverables of the Project. Any University’s Pre-Existing Intellectual Property Rights owned or partially owned by the University, identified in the RPS and related to any Deliverable, and/or Result shall be licensed, if necessary, to ZF for commercial use under a separate agreement negotiated in good faith under fair and reasonable market terms aligned with royalties typically paid for similar Intellectual Property Rights in the automotive or related industries.
