License Grant and Reservation of Rights. Subject to ongoing compliance with the Agreement, Spiff grants Customer a non- exclusive and non-transferable license during the Subscription Term to permit Users to access, install, implement, and use the Products and Services solely for Customer’s direct beneficial business purposes. Customer's rights to use the Products and Services are limited to those expressly set forth in the Agreement, including limitations based on license type set forth in the Sales Order. Spiff retains all right, title, and interest in and to the Products and Services and all related intellectual property rights, including without limitation any modifications, updates, customizations, apps, or other add-ons.
