Common use of License Grant Outside the Territory Clause in Contracts

License Grant Outside the Territory. Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensable, royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ Own Use; and (d) sell Licensed Product to Public Purchasers outside the Territory for the sole purpose of enabling such Public Purchasers to supply Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.

License Grant Outside the Territory. Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-non- exclusive, non-transferable, non-sublicensablesublicensable (other than its Affiliates, royalty-through one tier), royalty- bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product Compound and Licensed Product at a facility that is in a non-Territory country (excluding any involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO); (b) export Licensed Product manufactured by Licensee outside the Territory (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its their Own Use; (c) Retail Licensed Product manufactured outside the Territory (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ ' Own Use; and; (d) sell the Licensed Product to Public Purchasers outside of the Territory for the sole purpose of enabling such Public Purchasers to supply the Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and ProductCompound.

Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, DocuSign Envelope ID: E389DDA3-3EA0-4C1B-801D-93CD35BC54C2 non-sublicensable, royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ Own Use; and (d) sell Licensed Product to Public Purchasers outside the Territory for the sole purpose of enabling such Public Purchasers to supply Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.

Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, DocuSign Envelope ID: 76B8C7A6-66D1-43C9-84E7-0D151DB61944 non-sublicensable, royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ Own Use; and (d) sell Licensed Product to Public Purchasers outside the Territory for the sole purpose of enabling such Public Purchasers to supply Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.

Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, transferable,‌ non-sublicensable, royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ Own Use; and (d) sell Licensed Product to Public Purchasers outside the Territory for the sole purpose of enabling such Public Purchasers to supply Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.

Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, DocuSign Envelope ID: D912197B-D81E-47C3-A57B-57CF17C9819B non-sublicensable, royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ Own Use; and (d) sell Licensed Product to Public Purchasers outside the Territory for the sole purpose of enabling such Public Purchasers to supply Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.

Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, DocuSign Envelope ID: F0C62F1B-BD77-4D06-9219-67924AA8E188 non-sublicensable, royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ Own Use; and (d) sell Licensed Product to Public Purchasers outside the Territory for the sole purpose of enabling such Public Purchasers to supply Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.

License Grant Outside the Territory. Subject to the terms and conditions of this Agreement, MPP Pfizer hereby grants to Licensee MPP a non-exclusive, non-transferable, non-sublicensablesublicensable (solely to Sublicensees through one tier), royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to grant licenses to Sublicensees (solely by entering into Sublicenses with Sublicensees) for Sublicensees to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding any involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 4.8 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees Sublicensees for such other MPP Licensees’ their Own Use; and; (d) sell the Licensed Product to Public Purchasers outside of the Territory for the sole purpose of enabling such Public Purchasers to supply the Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.

License Grant Outside the Territory. Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, DocuSign Envelope ID: 174398E9-7BC6-4D69-97DC-01A43A37BFC6 non-sublicensable, royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ Own Use; and (d) sell Licensed Product to Public Purchasers outside the Territory for the sole purpose of enabling such Public Purchasers to supply Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.

Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, DocuSign Envelope ID: 91216EB2-F486-414B-B694-F90CEB5F065E non-sublicensable, royalty-bearing right and license under the Non-Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in a non-Territory country (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the WHO; (b) export Licensed Product manufactured by Licensee (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory to the Territory for its Own Use; (c) Retail Licensed Product manufactured (pursuant to the rights granted under Section 2.2(a) of this Agreement) outside the Territory in the Territory to other MPP Licensees for such other MPP Licensees’ Own Use; and (d) sell Licensed Product to Public Purchasers outside the Territory for the sole purpose of enabling such Public Purchasers to supply Licensed Product in the Territory for use in the Field; and (e) to Vend the Compound and Product.
