Common use of License Grant within the Territory Clause in Contracts

License Grant within the Territory. Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensable, royalty-bearing right license under the Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in the Territory (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the World Health Organization (“WHO”); (b) Commercialize the Licensed Product by itself or through its Affiliates in the Field in the Territory (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement); (c) Retail the Licensed Product to other MPP Licensees for such other MPP Licensees’ Own Use in the Territory; (d) register the Licensed Product in the Field in the Territory by itself or, subject to Section 2.7 of this Agreement, through its Affiliates for use in the Field for Section 2.1(b) and or Section 2.1(e) of this Agreement; (e) sell the Licensed Product to Public Purchasers in the Territory for the sole purpose of enabling the Public Purchasers to supply the Licensed Product solely in the Territory for use in the Field; and (f) Vend the Compound and Product.

Subject to the terms and conditions of this Agreement, MPP hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensablesublicensable (other than to its Affiliates or Approved Local Distributors, in each case, through one tier), royalty-bearing right and license under the Territory Patents and Licensed Know-How to: (a) manufacture the Compound, Product Compound and Licensed Product at a facility that is in the Territory (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement) and that is approved by an SRA or pre-qualified by the World Health Organization (“WHO”); (b) Commercialize the Licensed Product by itself or through its Affiliates in the Field in the Territory (excluding involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 of this Agreement); (c) Retail the Licensed Product to other MPP Licensees for such other MPP Licensees’ ' Own Use in the Territory; (d) register the Licensed Product in the Field in the Territory by itself or, subject to Section 2.7 of this Agreement, through its Affiliates for use in the Field for the purposes described and pursuant to the rights granted in Section 2.1(b) and or Section 2.1(e) of this Agreement; (e) sell the Licensed Product to Public Purchasers in the Territory for the sole purpose of enabling the Public Purchasers to supply the Licensed Product solely in the Territory for use in the Field; and (f) Vend the Compound and ProductCompound.

License Grant within the Territory. Subject to the terms and conditions of this Agreement, MPP Pfizer hereby grants to Licensee MPP a non-exclusive, non-transferable, non-sublicensablesublicensable (solely to Sublicensees through one tier), royalty-bearing right and license under the Territory Patents and Licensed Know-How to grant licenses to Sublicensees (solely by entering into Sublicenses with Sublicensees) for such Sublicensees solely to: (a) manufacture the Compound, Product and Licensed Product at a facility that is in the Territory (excluding any involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 4.8 of this Agreement) and that is approved by an SRA or pre-qualified by the World Health Organization (“WHO”); (b) Commercialize the Licensed Product by itself or through its Affiliates in the Field in the Territory (excluding any involvement of any Sanctions Targets except as expressly permitted pursuant to Section 8.4 4.8 of this Agreement); (c) Retail the Licensed Product to other MPP Licensees Sublicensees for such other MPP Licensees’ Sublicensee’s Own Use in the Territory; (d) register the Licensed Product in the Field in the Territory for use by itself or, subject to Section 2.7 of this Agreementthe applicable Sublicense, through its Affiliates for use the purposes described and pursuant to the rights granted in the Field for Section 2.1(b) and or Section 2.1(e) of this Agreement; (e) sell the Licensed Product to Public Purchasers in the Territory for the sole purpose of enabling the Public Purchasers to supply the Licensed Product solely in the Territory for use in the Field; and (f) Vend the Compound and Product.
